7.3 The Seller shall indemnify and

7.3 The Seller shall indemnify and hold DHL harmless for all claims, suits, liabilities of every nature whatsoever and howsoever arising from (a) a failure to comply with the terms of this Agreement; and/or (b) any violation of any industrial standards, manufacturing, health and safety and other related laws or regulations applicable in relation to the Assets.

7.4 The Seller represents and warrants that it:

a) is licensed under applicable laws and regulations to perform its obligations hereof and has the relevant expertise to perform the particular work agreed to by DHL and the Seller and has the competence to perform its obligations;
b) has or shall obtain, at its expense, before performing any services all the necessary registration, permits, licenses and authorizations to conduct business and perform the services; and
c) shall perform work and all services for DHL in a safe, workmanlike and satisfactory manner, and in compliance with all laws, decrees, orders, rules and regulation in accordance with law and DHL guideline.
