1. Intellectual Property Rights
a. Exclusive ownership of any software developments and of any other Intellectual Property developments, particularly all copyrights, which will be made under or in connection with this Master service agreement by Smartdev and its employees, as well as the associated Intellectual Property Rights are herewith transferred and assigned completely to Peddler.

b. Proprietary Information may include, but will not be limited to
i. Peddler’s computer programs (including object and source code), software processes, systems writings, technical knowhow, or ideas,
ii. all manuals, systems documentation, confidential reports, correspondence, memoranda, documents, or other materials of peddler
iii. all business information, tactics, or materials of Peddler, and
iv. Any Work Product, Smartdev acknowledges and agrees that proprietary information constitutes trade secrets and the proprietary and confidential information of Peddler and the proprietary information is and will remain the property of Peddler during the term and following the termination of this Agreement.

b. Proprietary Information may include, but will not be limited to
