Adjusted Base Annual Quantity has the meaning specified in Clause 7.4(b). Adverse Weather Conditions has the meaning specified in Section 1 of Schedule 4. Agreement means this Coal Supply Agreement.
Alternative Load Port means any load port and/or anchorage from which a Nominated Vessel is loaded for Delivery other than the Base Load Port.


Annual Increase Adjustment means the number of Cargoes specified in Item 9 of Schedule 1.
Annual Reduction Adjustment means the number of Cargoes specified in Item 10 of Schedule 1.
Applicable Law means any and all Laws applicable to the Parties, the transactions contemplated by this Agreement or the properties and interests the subject of this Agreement or any of them.
ASTM means the American Society for Testing and Materials.
Australasian Coal Code means the Australasian Code for Reporting of Exploration Results, Mineral Resources and Ore Reserves (The JORC Code 2004) and the Australian Guidelines for Estimating and Reporting of Inventory Coal, Coal Resources and Coal Reserves (2003 edition).
Authorisation includes:
(a) Any consent, authorisation, registration, filing, lodgment, agreement, notarisation, certificate, permission, license, approval, authority or exemption from, by or with a Governmental Agency; or
(b) in relation to anything that is required or which will be fully or partly prohibited or restricted by Applicable Law or if a Governmental Agency intervenes or acts in any way within a specified period after lodgment, filing, registration or notification, the expiry of that period without intervention or action.
Base Annual Quantity means the amount specified in Item 8 of Schedule 1, as adjusted in accordance with Clause 7.4 and Clause 7.6.
Base Coal Price means the price in US$/Tonne specified in Item 2 of Schedule 1 and in Section 1 of Schedule 3.
Base Load Port means the load port and/or anchorages specified in Item 5 of Schedule 1.
Berth means a loading berth or terminal, floating shiploading facility, or other shiploading facility, used for the loading of coal at the Load Port.
Berthing means the securing of the Nominated Vessel alongside a Berth, or the securing of a Berth alongside a Nominated Vessel, as the case may be, such that the Nominated Vessel is ready for loading in accordance with Section 6 of Schedule 4.
Bill of Lading means a document signed by the master of a Nominated Vessel or his agent, which acknowledges that a Cargo has been received, describes the Cargo, specifies its destination and sets out the terms under which the Cargo is to be carried.
Business Day means a day which is not a Saturday, Sunday or a public holiday in Vietnam, and [to be inserted], for the purpose of making any payment.
Buyer’s Bank Account means the account notified by the Buyer to the Seller (as may be varied by the Buyer from time to time by Notice to the Seller).
Buyer Event of Default has the meaning specified in Clause 14.3.
