KNOW ALL MEN BY THESE PRESENTS that ....................., a company incorporated and validly existing under the laws of Vietnam with its registered office at ....................... (the “Company”), does hereby make, constitute and appoint:
(1) Mr. .............holder of Vietnamese Passport No: .............., (The “Attorney-in-Fact”) issued on .................
(2) Mr. .............., holder of Vietnamese Passport No: .........(The “Attorney-in-Fact”) issued on .............
as the Company’s true and lawful Attorney-in-Fact for the Company to apply for and obtain the approval of the Directorate Investment & Company Administration (DICA ) for the Company Branch Office namely ....... , and duly register the Company under the laws and regulations of the Republic of the Union of Myanmar. The said Attorney –in-Fact is hereby authorized to submit all documents and answer all questions on behalf of the Company and to do or cause instruments as he may deem necessary or appropriate in order to obtain the required permissions from DICA, to register the Company Branch Office name at the Company Branch Office Register, to sign and received the Company Branch Office Registration, to receive on behalf of the Company all licenses, registrations, certificates and documents and in general to do or cause to be done all acts and things necessary to establish the Branch Office in the Republic of the Union of Myanmar. The Attorney-in-Fact may also delegate to others any and all of the powers hereby granted to the Attorney-in-Fact. This resolution constitutes as Special Power of Attorney for aforesaid purpose.
The powers conferred hereby shall continue in full force and effective until revoked by the Company, and the Company does hereby approve, ratify and confirm all that the said Attorney-in-Fact or his designee(s) shall lawfully do or cause to be done by virtue hereof.

ជាការពិតនិងគ្មានច្បាប់មេធាវីនៅក្នុងការពិតរបស់ក្រុមហ៊ុនសម្រាប់ក្រុមហ៊ុននេះដើម្បីដាក់ពាក្យសុំនិងទទួលបានការអនុម័តរបស់រដ្ឋការវិនិយោគនិងក្រុមហ៊ុនអគ្គនាយក (DICA) សម្រាប់សាខាក្រុមហ៊ុននេះគឺ .. ..... , និងត្រឹមត្រូវចុះឈ្មោះក្រុមហ៊ុនដែលស្ថិតក្រោមច្បាប់និងបទប្បញ្ញត្តិនៃសាធារណរដ្ឋសហភាពមីយ៉ាន់ម៉ា។ មេធាវីបាននិយាយថា -in-ការពិតត្រូវបានអនុញ្ញាតសូមបញ្ជូនឯកសារទាំងអស់និងឆ្លើយសំណួរទាំងអស់នៅលើក្នុងនាមក្រុមហ៊ុននិងធ្វើឬបង្កឱ្យមានឧបករណ៍ដូចជាគាត់អាចមានន័យថាចាំបាច់ឬដែលសមរម្យនៅក្នុងគោលបំណងដើម្បីទទួលបានសិទ្ធិដែលបានទាមទារពី DICA, ដើម្បីចុះឈ្មោះក្រុមហ៊ុននេះ ឈ្មោះរបស់ការិយាល័យសាខានៅការិយាល័យចុះឈ្មោះសាខាក្រុមហ៊ុនដើម្បីចុះហត្ថលេខានិងទទួលបានចុះបញ្ជីក្រុមហ៊ុនការិយាល័យសាខាដើម្បីទទួលបានក្នុងនាមនៃក្រុមហ៊ុននេះទទួលបានអាជ្ញាប័ណ្ណទាំងអស់ដែលចុះបញ្ជីវិញ្ញាបនបត្រនិងការឯកសារនិងជាទូទៅដើម្បីធ្វើការឬបណ្តាលឱ្យត្រូវបានធ្វើអំពើដែលចាំបាច់ទាំងអស់បាននិងអ្វី ដើម្បីបង្កើតសាខាការិយាល័យនៅសាធារណរដ្ឋសហភាពមីយ៉ាន់ម៉ា។ មេធាវីនៅក្នុងការពិតដែលអាចធ្វើប្រតិភូកម្មទៅឱ្យអ្នកផ្សេងទៀតណាមួយនិងទាំងអស់នៃអំណាចបានផ្តល់សូមទៅមេធាវីនៅក្នុងការពិតនោះទេ។ គុណភាពបង្ហាញនេះបង្កើតជាថាមពលពិសេសរបស់មេធាវីសម្រាប់គោលបំណងថ្លែងរួចមកហើយ។
អំណាចបានប្រគល់សូមត្រូវបន្តជាធរមានពេញលេញនិងមានប្រសិទ្ធិភាពរហូតដល់បានដកហូតវិញដោយក្រុមហ៊ុនហើយក្រុមហ៊ុនមិនសូមយល់ព្រមផ្តល់សច្ចាប័ននិងបញ្ជាក់ទាំងអស់ដែលបាននិយាយថាមេធាវីនៅក្នុងការពិតរបស់គាត់ឬ ចត់ (s) បានច្បាប់ត្រូវធ្វើឬបណ្តាលឱ្យត្រូវបានធ្វើដោយនូវខណ្ណ។
ក្នុងការធ្វើបន្ទាល់ដូច, ផ្ទេរសិទ្ធិនេះត្រូវបានគេសម្លាប់ត្រឹមត្រូវនៃនាមរបស់ក្រុមហ៊ុននេះ ....... ឆ្នាំ 2015 ។
