1.3. The total price of goods is USD 152500 (In words: One Hundred And Fifty-Two Thousand Five Hundred Dollars)
1.4. The CONTRACT VALUE as above-mentioned is understood to be Ex works according to “INCOTERMS 2010” including costs of packing and marking

2. Terms of payment
2.1. Forty percent (40%) of the contract amount (61000 USD) shall be paid by T/T after signing the contract.
2.2. Sixty percent (60%) of the contract amount (91500 USD) shall be paid by T/T within 06 month after second party had received the machine and enough documents such as: invoice, Guarantee Paper, Cargo Delivery Report.
2.3. Notice of shipment: Within 2 days after finishing manufacture, the first party shall advice the the second party by Fax information concerning the situation of handling the goods and send to the Second party directly by attachment to the goods the shipping documents as below:
• 2 originals of signed commercial invoice showing clearly total contract value
• 2 originals of packing list
• 2 originals of Certificate of Quality and Quantity issued by the First party.
• 1 originals and 2 copy of Certificate of Origin issued by Chinese Chamber of Commerce.

4. Packing and marking
4.1. The contract goods shall be delivered in strong sea freight packing corresponding to the requirement for each particular type of goods and in accordance with the international packing standard for export so as to ensure safety of the goods in transportation, transit, transshipment, normal handling and long storage.
Before packing, such preventive measure as basic treatment, possible final painting, grease coating, oil-paper wrapping or polyethylene film wrapping, etc. subject to nature and requirement of goods. That shall be taken in order to protect the goods from moisture, rain, rust, corrosion, damage and deterioration under high temperature and humidity in Vietnam.
One set of detailed packing document will be included in the cases.

4.2. Marking: The First party shall provide cargo mark in indelible paint conspicuously on three sides of each package /case:
• Name of consignee, Contract number, Name of Supplier
• Net/Gross weight (in kg), Measurement (in cm), shipping marks
• Destination and necessary indications, Package number/total package of shipment

5. Warranty
- First Party should guarantee maintenance parts, maintenance labour, transport, technical support and repairs, free of charge for the fiber laser warranty for two years and other parts guarantee one year from the start date of after acceptance.
- Any malfunction or damage of contracted equipment caused by abnormity of power supply, bad working environment or wrong operation of Second Party are not under warranty.
- First party must guarantee that all machinery is entirely 100-percentage new.

6. After Sales Service
First Party shall supply one year’s after sales service to Second Party.

7. Force majeure
Neither party shall be held responsible for failure or delay to perform all or any part of this Contract due to flood, fire, earthquake, snowstorm, hailstorm, hurricane, war, government prohibition or any other events that are unforeseeable at the time of this execution of this Contract and could not be controlled, avoided or overcome by such party. However, the party whose performance is affected by the event of Force Majeure shall give a notice to the other party of its occurrence as soon as possible and a certificate or a document of the occurrence of the Force Majeure event issued by the relative authority or a neutral independent third party shall be sent to other party by airmail not later than 15 days after its occurrence.

8. Notice
Any notice to be given here under shall be written or shall be hand-delivered, transmitted by facsimile or telexed or sent by express airmail, and shall be deemed given when so hand-delivered, or if transmitted by facsimile or telexed, one day after the date of such facsimile or telex so transmitted, or if sent by mail when received, to the parties at the address specified at the preface to this contract.

9. Incoterms
Unless otherwise stipulated in this Contract, the terms and conditions of this Contract shall be interpreted in accordance with the International Rules for the Interpretation of Trade Terms (INCOTERMS 2000) PROVIDED BY International Chamber of Commerce.

10. Arbitration
All disputes arising from the performance of this Contract should be settled through friendly negotiation. Should no settlement be reached through negotiation, the case shall be submitted for arbitration in the Country where the defendant resides. The award of the arbitration shall be final and binding upon both parties. The arbitration fee shall be borne by the losing party unless otherwise awarded by the arbitration organization.

11. General conditions
- All amendments to the Contract and the supplementary agreements between both parties are valid only after written confirmation by both parties and message shall validly be made by telex/fax.
- All charges, expenses and taxes incurred outside Vietnam relating to the implementation of this Contract shall be borne by the First party while all charges, expenses and taxes in the Second party's country shall be at the Second party's account.
- All annexes and Technical documentation enclosed with are the integral part of this Contract.
- This Contract comes into effect upon receipt of official permission of authorized organization of Vietnam and shall expire upon expiration of guarantee period of all equipment supplied under this Contract.
