MATERIALS AND HANDLING AIDS3.1 If IKEA furnishes materials, handling materials and/orequipment (“Materials”) to Seller, all such Materials are tobe used exclusively for the manufacture and/or delivery ofproducts to IKEA. All Materials provided by IKEA shallremain the sole property of IKEA unless paid in full by theSeller. Any unused supply of such Materials shall bereturned to IKEA immediately upon IKEA’s request. Sellershall mark and store such Materials so the Materialsbelonging to IKEA do not become incorporated into orcommingled with any property of Seller.3.2 Seller shall upon receipt inspect Materials furnished in orderto ensure that the Materials correspond to agreedquantities and are free from defects. Any shortages ordefects in Materials furnished shall immediately be notifiedin writing by Seller to IKEA. After receipt of Materials therisk regarding the Materials shall be borne by Seller.4. QUALITY4.1 Seller remains liable at all times to IKEA for design,materials or workmanship of any sub-supplier.4.2 Before delivery of a product Seller shall produce a referencesample if requested to do so by IKEA. Seller shall on its owncost and expense and at its own risk store all referencesamples (including reference drawings) or - if IKEA sorequires - place a sample at IKEA’s disposal free of charge.5. PACKAGING5.1 Seller shall - unless specific instructions on packaging havebeen communicated by IKEA - ensure that the products arepacked to withstand delivery, damage and deteriorationbefore the products reach their ultimate destination andfulfil reasonable expectations regarding display with respectto end-consumers.6. MARKING6.1 Seller shall only mark the products and packaging inaccordance with instructions from IKEA, including use ofthe IKEA tradename and trademark. Nothing herein shall beinterpreted as granting Seller a right or a license to use theIKEA trade name or the IKEA trademark.7. DELIVERY TERMS AND PURCHASE ORDER7.1 Ordered products shall be timely dispatched in the agreedmanner, and any agreed trade term shall be construed inaccordance with INCOTERMS 2000. If no trade term hasbeen specifically agreed, the delivery shall be FCA. Sellershall notify to IKEA the volume required for transportationof each consignment in the time and form stipulated byIKEA. Seller shall solely be liable for costs occurred forordered but not utilised transportation capacities, as well asfor any demurrage occurred due to the Seller.7.2 Seller shall inspect the loading and (if not otherwiseinstructed) seal all shipments before dispatch. Seller shallnotify dispatch consignment details to IKEA in written orelectronic form on the date of dispatch.7.3 Seller agrees to store the ordered products at its own riskand expense at Seller’s premises until delivered upon orderby IKEA, or a company nominated by IKEA, to a receiverdesignated by IKEA. Seller shall mark and separately storethe ordered products so that the products do not becomecommingled with Seller’s property.7.4 A purchase order may be executed in written or electronicform, and shall be confirmed by Seller and returned to IKEAwithout any delay. In the event IKEA does not receiveSeller’s confirmation within the period notified in thepurchase order, or, in absence of such period, 10 days fromdispatch of the purchase order, the purchase order shall bedeemed to have been accepted by Seller. If, however,Seller notifies IKEA in writing within said period that itaccepts the purchase order with certain changes, IKEA shallhave the right to decide not to be bound by the changedpurchase order.7.5 If the parties agree on any changes to a purchase order,IKEA shall issue a new purchase order or amend in writingthe existing purchase order.7.6 Seller shall forthwith obtain and supply certificates and/ordeclaration of origin including duplicates thereof to IKEA ina form required by IKEA at Sellers own cost and expense.Seller shall bear all costs incurred by IKEA due to Sellersnon-performance in respect hereof.7.7 Notwithstanding anything to the contrary stated herein,Seller shall not be entitled to reject any purchase order ifSeller has agreed to a committed purchase/delivery value.Seller signature and company stampv2.3 2/37.8 Seller undertakes to forthwith notify IKEA in the event anagreed delivery time can not be met. IKEA may uponreceipt of such notification in its sole discretion cancel anypurchase order or amend the purchase order to reflect anew delivery time.8. INSPECTION8.1 IKEA is entitled to be present to inspect and reviewproduction, storage and packing at Seller’s and/or subsupplier’s facilities at any time, and Seller shall provide anyrelevant information in relation thereto upon IKEA’srequest.9. WARRANTY AND INDEMNITY9.1 Seller warrants all products delivered to be free from alldefects and that design, materials and workmanshipconform strictly to the specifications furnished or otherwisepresented or agreed. This warranty shall continue in fullforce notwithstanding inspection, acceptance and delivery ofthe products and payment for the products by IKEA.9.2 Seller’s liability is limited to defects which appear within aperiod of two years from the date on which the product isreceived by IKEA provided that this shall not apply in thecase of defects caused by Seller’s negligence when thereshall be no time limit.9.3 Seller warrants that in complying with its obligationshereunder, it will at all times comply with all relevantnational and international laws, conventions, regulationsand provisions applicable in the country of production andultimate retail destination. Seller further undertakes to, at
all times, fulfil environmental-, working-, social- and other
conditions set forth in “The IKEA Way on Purchasing Home
Furnishing Products”.
9.4 Seller undertakes to indemnify and hold harmless IKEA for
any and all damages, claims, costs and expenses which
IKEA might incur out of or in connection with any defect or
non-conformity to specifications of any products supplied by
Seller hereunder.
10. COMPLAINTS AND DEFECTS
10.1 IKEA shall notify Seller in writing of any defects that have
appeared, including a description of the defect.
10.2 Seller is entitled to inspect the defective product at its own
cost at IKEA’s site. If Seller fails to exercise this right within
ten days, calculated from the date of notice under Clause
10.1, IKEA may return the defective product to Seller at
Seller’s risk and expense and Seller shall further be deemed
to have accepted the product as defective. IKEA may fix a
shorter period of inspection.
10.3 Subject to Clause 9.2, Seller shall remedy any defect in the
products without delay and at its own cost, including costs
of transportation.
10.4 When a defect in a product has been remedied, Seller shall
be liable for defects in the repaired or replaced produc
