1, Port of loading: any port in SHANGHAI. Port of destination: HAI PHONG PORT ,Vietnam
2, Shipping date: Within 30 days after receiving the L/C. Transshipment is allowed, Partial shipment is not allowed
3, Terms of payment: 100% at sight irrevocable L/C.
4, Documents require:
-3/3 set of clean on board ocean bill of lading made out to the order of marked freight prepaid and notify the applicant, name and address of shipping agent at destination must be indicate on the bill of lading.
-Commercial invoice manually signed in 03 originals.
-Packing list up in 03 originals.
-Certificate of Origin FORM E certified by SHANGHAI ENTRY-EXIT INSPECTION AND QUARANTINE BUARANRINE BUREAU ,PEOPLE’S REPUBLIC OF CHINA in 01 original and 01 copy.
-Certificate of quality and quantity issued by SHANGHAI HANGFA MACHINE CO.,LTD. in 03 originals.
-Certificate of Insurance “all risks” covering 110% of contract value, showing claim payable in HAI PHONG PORT , Vietnam.
All bank charges inside the buyer’s country shall be borne by the buyer and all bank charges outside buyer’s country shall be for seller’s account.

7, Quality Requirement:
Standard Chinese quality control, quality guarantee is one year, if buyer need seller to adjust the machine equipment, the expense will be paid by buyer, details will be discussed at that time.
Quality and quantity discrepancy: in case of quality discrepancy, buyer should claim within 30 days after receive of the goods, while for quantity discrepancy, buyer should claim within 15 days after the goods arrival at the port of destination.
Any dispute in connection with the execution of the contract shall be settled amicably at first. If this does not lead to agreeable result shall be referred to the Arbitration of the International Chamber of Commerce in Singapore whose decisions shall be final and binding to both parties.
Fee of arbitration shall be borne by the losing party.
Any other terms and condition that are not mentioned in this contract will be applicable to Incoterms 2010.
This contract is made in English in 4 original, 2 for each party.
