a. In connection with work contemplated under this Agreement, the parties may disclose confidential information to each other. Each party will use reasonable efforts to prevent the disclosure of any of the other party’s confidential information to third parties, provided that the recipient party’s obligation shall not apply to information that:
i. is already in the recipient party’s possession at the time of disclosure thereof;
ii. is or later becomes part of the public domain through no fault of the recipient party;
iii. is received from a third party having no obligations of confidentiality to the disclosing party;
iv. is independently developed by the recipient party; or
v. is required by law or regulation to be disclosed. In this case the party required to make disclosure shall notify the other to allow that party to assert whatever
vi. exclusions or exemptions may be available to it under such law or regulation.

a. Trong kết nối với công việc trong Thoả thuận này, các bên có thể tiết lộ thông tin bí mật với nhau. Mỗi bên sẽ sử dụng những nỗ lực hợp lý để ngăn chặn việc tiết lộ bất kỳ thông tin bí mật của bên kia cho bên thứ ba, với điều kiện là nghĩa vụ của bên nhận của không áp dụng cho các thông tin:
i. là đã sở hữu các đảng của người nhận tại thời điểm công bố thông tin của chúng;
ii. là hay muộn sẽ trở thành một phần của phạm vi công cộng không phải do lỗi của bên nhận;
iii. được nhận từ một bên thứ ba không có nghĩa vụ bảo mật đối với bên tiết lộ;
iv. phát triển độc lập của bên nhận; hoặc
v. là yêu cầu của pháp luật hoặc quy định được công bố. Trong trường hợp này các bên phải thực hiện công bố thông tin phải thông báo cho bên kia để cho phép bên đó để khẳng định bất cứ điều gì
vi. trừ hoặc miễn trừ có thể có sẵn cho nó theo pháp luật hoặc quy định như vậy.
