2/ Vietinbank’s authorized rights and obligations under the Finance Documents:

- Under Article 3.11 of the original Deed of Covenants, once Vietinbank is satisfied that all amounts outstanding under the Finance Documents have been paid and discharged in full, Vietinbank is obliged, at the request of PVKZ, to discharge the Mortgage and re-assign (without any warranty, representation, covenant or other recourse) to PVKZ such rights as Vietinbank then has to, or in connection with, the Secured Assets and release the floating charge created in Clause 3.4. This means that under the original Finance Documents, Vietinbank is not allowed to wait UNTIL it has distributed the repayment amounts to the Original Lenders THEN discharge the security over the Secured Assets. By signing on the Facility Agreement, the Finance Parties had constructively agreed to the assumption of Vietinbank of this obligation via their authorization given below.

- Under Article 28.1 of the Facility Agreement, the Finance Parties appointed Vietinbank as their agent in connection with the Facility Documents, and authorized Vietinbank to exercise the rights, powers, authorities and discretions specifically given to it under, or in connection with, the Finance Documents together with any other incidental rights, powers, authorities and discretions. Read this Article together with Article 3.11 of the orginal Deed of Covenants, Vietinbank automatically has right and necessary authority (and obligation under the Facility Agreement) to release the mortgages and charges over the Secured Asset WITHOUT any further requirement of authorization by other Finance Parties.
