4.14. Compliance Matters

(A) The Board shall appoint an officer (“Compliance Officer”) to monitor compliance issues of the Company and its Key Employees in accordance with applicable Law and international best practices of corporate compliance. The Compliance Officer shall design a framework of compliance and examine and monitor compliance issues. The Shareholders shall be entitled to conduct compliance and risk reviews at their own costs. The Company will co-operate with these reviews and provide any relevant information.

(B) The Company shall be managed in accordance with applicable Law and international best practice standards and procedures, including international best practices of corporate compliance, and all Key Employees and other employees shall be thoroughly familiar with such standards and procedures or shall be capable to be trained so as to be thoroughly familiar with such standards and procedures.
