The two parties mutually agree to sign the construction Contract with following Clauses:
Clause 1: Contents of works and products of the Contract
Party A employs Party B for Maintenance alarm system of fence followed requirement of party A,
Clause 2: Quality and specifications
The construction shall be complied with requirement of party A, warrant the stability and accuracy of alarm system and installed equipment as specified by Vietnamese construction codes, standards.
Clause 3: Time for construction: days
- Starting date: 2015.
- Complete date: 2015.
Clause 4: Conditions for acceptance and taking over of construction Works
4.1. Conditions for acceptance:
+ Compliance with regulations on quality management of construction Works specified in the Decree no. 209/2004/ND-CP dated December 16, 2004 of the Government.
+ The Works shall be accepted for use provided that such Works have been done according to requirements of party A, quality requirements, and criteria as regulated by law.
4.2 Conditions for Taking over of the Works for use
+ Assure requirements on principles, contents, and processes on Taking-over of Works done for use in according to legal regulations on construction.
+ Assure safety in operation, exploration at the use of the Works.
Clause 5: Warranty of the Works
5.1 Party B shall be responsible for warrant the Works after the taking-over to Party A. Contents of warrant include: Mitigation, correction, change equipment in failure or fault, or when the Works do not work normally due to the fault of the Contractor.
5.2 Warranty Time: 03 months for the equipment, repair and replacement of components and 12 months for equipment replacement.
Clause 6: Price of the Contract: + The Price Contract shall be according to approval decision of the quotation of TENMA(HCM)VIETNAM LTD., Company, Hanoi Branch.
The accepted bid price is : VND 5.410.000
VAT 10% is : VND 541.000
Total: VND 5.951.000
In words: five million nine hundred fifty-one thousand VND.
Clause 7: Payments under the Contract
Party A shall make payments after 2days as from the time of taking over of the Works for use 100% of total amount,
Payments shall be made in VND.
Clause 8. Rights and Responsibilities of Party B
Supply materials, equipment for the use for the Works with specifications, criteria, styles, qualities as specified in the Bidding Document issued by Party A, and report to Party A for verification prior relevant uses. Raw materials, materials which are found under verification disqualified, shall be immediately removed from the Site.
Clause 9. Rights and Responsibilities of Party A
Assign duly authorized representatives in order to supervise the construction and to settle difficulties with Party B in the process of construction and to verify the quality of raw materials, equipment, to promptly accept at the notice of Party B, make convenient conditions for Party B for his continuous construction assuring the quality of Works.
Clause 10: Applicable Languages
The language of the Contract is Vietnamese & English
Clause 11: General Provisions
The Parties undertake to well carry out all Clauses set forth in the Contract
The Contract is made into 04 sets with equal legality, Party A keeps 02 sets, Party B keeps 02 sets, accordingly.
The effectiveness of the Contract. The Contract comes into force from the date of signature thereof.

Hai bên cùng thống nhất ký hợp đồng xây dựng với các khoản sau đây:
Điều 1: Nội dung công trình và sản phẩm của hợp đồng
Bên A thuê bên B cho hệ thống báo động bảo trì hàng rào theo yêu cầu của bên A,
khoản 2: Chất lượng và thông số kỹ thuật
Công trình xây dựng thì phải tuân theo yêu cầu của bên A, bảo đảm sự ổn định và độ chính xác của hệ thống báo động và thiết bị lắp đặt như quy định bởi mã xây dựng Việt Nam, tiêu chuẩn.
Khoản 3: Thời gian xây dựng: ngày
- Ngày bắt đầu: 2015
- Ngày hoàn thành: năm 2015.
Điều 4: Điều kiện để chấp nhận và nghiệm thu công trình xây dựng
4.1. Điều kiện nhận:
+ Tuân thủ các quy định về quản lý chất lượng công trình xây dựng quy định trong Nghị định. 209/2004 / NĐ-CP ngày 16 tháng 12, 2004 của Chính phủ.
+ Các Công trình chỉ được chấp nhận cho sử dụng với điều kiện là Công trình này đã được thực hiện theo yêu cầu của bên A, yêu cầu chất lượng và các tiêu chí theo quy định của pháp luật.
4.2 Điều kiện cho Đi qua của các công trình sử dụng
+ Bảo đảm các yêu cầu về nguyên tắc, nội dung và quy trình về Đi giao Công trình thực hiện để sử dụng trong theo quy định của pháp luật về xây dựng.
+ Đảm bảo an toàn trong hoạt động tìm kiếm thăm dò ở việc sử dụng của các công trình.
khoản 5: Bảo hành của các công trình
5.1 Bên B có trách nhiệm bảo đảm các công trình sau khi lấy giao cho bên A. Nội dung của lệnh bao gồm: Giảm nhẹ, hiệu chỉnh, thiết bị thay đổi trong thất bại hay lỗi, hoặc khi trình không hoạt động bình thường do lỗi của Nhà thầu.
5.2 Bảo hành Thời gian:. 03 tháng đối với các trang thiết bị, sửa chữa và thay thế linh kiện và 12 tháng cho thiết bị thay thế
khoản 6: Giá của hợp đồng: + Giá Hợp đồng sẽ được theo quyết định phê duyệt báo giá .. của Tenma (HCM) VIỆT NAM LTD, Công ty, Chi nhánh Hà Nội Giá dự thầu được chấp nhận là: 5.410.000 VND VAT 10% là: 541,000 VND Tổng cộng: 5.951.000 đồng Bằng chữ: 5.951.000 VND. khoản 7: Thanh toán theo hợp đồng Bên A sẽ thanh toán sau 2 ngày kể từ khi tiếp quản của các công trình để sử dụng 100% tổng số tiền, thanh toán phải được thực hiện bằng VND. Khoản 8. Quyền và Trách nhiệm của bên B vật liệu cung cấp , thiết bị cho việc sử dụng cho các công trình với thông số kỹ thuật, tiêu chuẩn, phong cách, phẩm chất như quy định trong Hồ sơ dự thầu do bên A, và báo cáo cho Bên A để xác minh trước khi sử dụng có liên quan. Nguyên liệu, vật liệu được tìm thấy dưới xác minh bị loại, thì ngay sau loại bỏ khỏi trang web. Điều 9. Quyền và Trách nhiệm của Bên A Assign uỷ quyền hợp pháp đại diện để giám sát việc xây dựng và giải quyết những khó khăn với bên B trong quá trình xây dựng và để kiểm tra chất lượng của nguyên liệu, thiết bị, kịp thời chấp nhận tại các thông báo của Bên B, tạo điều kiện thuận lợi cho bên B thi công liên tục của mình đảm bảo chất lượng công trình. Khoản 10: Ngôn ngữ áp dụng Ngôn ngữ của hợp đồng là tiếng Việt & English khoản 11: Những quy định chung Các bên cam kết thực hiện tốt tất cả các khoản được quy định trong Hợp đồng Hợp đồng được lập thành 04 bộ với tính pháp lý như nhau, Bên A giữ 02 bản, bên B giữ 02 bản, phù hợp. Hai bên cùng thống nhất ký hợp đồng xây dựng với các khoản sau đây:
Điều 1: Nội dung công trình và sản phẩm của hợp đồng
Bên A thuê bên B cho hệ thống báo động bảo trì hàng rào theo yêu cầu của bên A,
khoản 2: Chất lượng và thông số kỹ thuật
Công trình xây dựng thì phải tuân theo yêu cầu của bên A, bảo đảm sự ổn định và độ chính xác của hệ thống báo động và thiết bị lắp đặt như quy định bởi mã xây dựng Việt Nam, tiêu chuẩn.
Khoản 3: Thời gian xây dựng: ngày
- Ngày bắt đầu: 2015
- Ngày hoàn thành: năm 2015.
Điều 4: Điều kiện để chấp nhận và nghiệm thu công trình xây dựng
4.1. Điều kiện nhận:
+ Tuân thủ các quy định về quản lý chất lượng công trình xây dựng quy định trong Nghị định. 209/2004 / NĐ-CP ngày 16 tháng 12, 2004 của Chính phủ.
+ Các Công trình chỉ được chấp nhận cho sử dụng với điều kiện là Công trình này đã được thực hiện theo yêu cầu của bên A, yêu cầu chất lượng và các tiêu chí theo quy định của pháp luật.
4.2 Điều kiện cho Đi qua của các công trình sử dụng
+ Bảo đảm các yêu cầu về nguyên tắc, nội dung và quy trình về Đi giao Công trình thực hiện để sử dụng trong theo quy định của pháp luật về xây dựng.
+ Đảm bảo an toàn trong hoạt động tìm kiếm thăm dò ở việc sử dụng của các công trình.
khoản 5: Bảo hành của các công trình
5.1 Bên B có trách nhiệm bảo đảm các công trình sau khi lấy giao cho bên A. Nội dung của lệnh bao gồm: Giảm nhẹ, hiệu chỉnh, thiết bị thay đổi trong thất bại hay lỗi, hoặc khi trình không hoạt động bình thường do lỗi của Nhà thầu.
5.2 Bảo hành Thời gian:. 03 tháng đối với các trang thiết bị, sửa chữa và thay thế linh kiện và 12 tháng cho thiết bị thay thế

Quyền và Trách nhiệm của bên B vật liệu cung cấp , thiết bị cho việc sử dụng cho các công trình với thông số kỹ thuật, tiêu chuẩn, phong cách, phẩm chất như quy định trong Hồ sơ dự thầu do bên A, và báo cáo cho Bên A để xác minh trước khi sử dụng có liên quan. Nguyên liệu, vật liệu được tìm thấy dưới xác minh bị loại, thì ngay sau loại bỏ khỏi trang web. Điều 9. Quyền và Trách nhiệm của Bên A Assign uỷ quyền hợp pháp đại diện để giám sát việc xây dựng và giải quyết những khó khăn với bên B trong quá trình xây dựng và để kiểm tra chất lượng của nguyên liệu, thiết bị, kịp thời chấp nhận tại các thông báo của Bên B, tạo điều kiện thuận lợi cho bên B thi công liên tục của mình đảm bảo chất lượng công trình. Khoản 10: Ngôn ngữ áp dụng Ngôn ngữ của hợp đồng là tiếng Việt & English khoản 11: Những quy định chung Các bên cam kết thực hiện tốt tất cả các khoản được quy định trong Hợp đồng Hợp đồng được lập thành 04 bộ với tính pháp lý như nhau, Bên A giữ 02 bản, bên B giữ 02 bản, phù hợp.
