2. Establishment of the Company
2.1 Establishment
The Converting Member agrees to convert the Company from a single member limited liability company to a multiple member limited liability company in accordance with this Agreement and the Charter.
2.2 Name of the Company
The name of the Company is specified in item 2 of the Reference Schedule.
2.3 Limited liability
The Company is a limited liability company. The liability of each Member is limited to an amount equivalent to the total capital contribution which it has contributed (or is otherwise obligated to contribute) to the Company pursuant to this Agreement and the Charter.
2.4 First meeting of the MC
(a) As soon as possible after issuance of the Conversion Investment Certificate the Members must procure a meeting of the MC at which the Authorised Representative of each Member votes in favour of:
(i) (Chairman) the appointment of Mr Fabrice Giraudat as the first Chairman of the MC;
(ii) (General Director) the appointment of Mr D.Y. Ko as the first General Director of the Company;
(iii) (Deputy General Director) the appointment of Mr Guillaume Coche as the first Deputy General Director of the Company who will have responsibilities covering logistics and finance.
(b) Immediately after the meeting referred to in clause 2.4(a) the Company and the Members must each take all necessary steps to implement the resolutions of the MC set out in clause 2.4(a).
