The parties understand and agree that no contract or agreement providing for a business
relationship shall be deemed to exist between the parties unless and until both parties have
executed a separate definitive agreement providing for such relationship. Individual/Company
acknowledges that Rice Creative and its various departments, franchisees, affiliates, divisions,
subsidiaries, agencies and representatives continually test and evaluate various concepts,
designs, products and other materials for use in connection with Rice Creative business and
it is possible that some person or entity within the Rice Creative system is currently evaluating and/or testing a concept, design and/or product that is similar or identical to any of the concepts, designs and/or products presented by Individual/Company in connection with the Business Purpose, and that Rice Creative may have already considered such a concept, design and/or product in the past. Individual/Company acknowledges and agrees that it has no
claims against Rice Creative in connection with Rice Creative consideration, use or development of any similar or identical product, design, concept or other materials now or in
the future. In addition, Individual/Company agrees that any rights that Individual/Company
may have in any concepts, designs and products presented by Individual/Company in connection with the Business Purpose will not be infringed by Rice Creative use, consideration or development of any concept, design and/or product that is similar or identical to any of the concepts, designs and/or products presented by Individual/Company in connection with the Business Purpose. Individual/Company waives any and all claims against Rice Creative, its officers, directors, employees, agents, representatives, franchisees, agencies, subsidiaries, divisions and representatives for any use by Rice Creative of any product, design or concept similar or identical to any of the concepts, designs and/or products presented by Individual/Company in connection with the Business Purpose. Individual/Company acknowledges that Rice Creative may work with or enter into discussions with actual or potential competitors of Individual/Company in areas that are identical to or overlap to some degree the subject matter of the Business Purpose. Individual/Company expressly acknowledges and agrees that such activities on the part of Rice Creative do not constitute a breach of the Agreement and do not give rise to a cause of action against Rice Creative by Individual/Company. Individual/Company understands and agrees that the parties’ discussions regarding the Business Purpose are informational only, and that these discussions shall not be construed as constituting a contract, license, commitment, or order by Rice Creative for the purchase of any products, materials or services from Individual/Company, and there are no assurances or promises that any business relationship will be formed now or in the future.
