A Limited Partner may participate in the Alternative Investment by providingnotice to the Partnership of his or her interest in the Alternative Investment as an opportunity to maintain their at-risk investment throughout the conditional residence period, as required under the EB-5 regulations. The General Partner, in its sole discretion, shall determine the investment that shall constitute the Alternative Investment, which likely will be a publicly traded security involved in the real estate industry but not affiliated with the General Partner. Those Limited Partners that do not elect to participate in the Alternative Investment will continue as Limited Partners in the Partnership and receive distributions as provided in the Partnership Agreement.
