willful misconduct, material breach of this Agreement or acting contrary to information’s
provided as requested in section 2 paragraph b, to defend, indemnify and hold harmless Money
Manager from and against any and all suits, damages, actions, claims, liabilities, demands,
decrees, judgments (including but not limited to attorney’s fees and expenses incurred on
account thereof), arising out of or resulting directly or indirectly from the Company’s provision
