this agreement shall be governed by and contrued, in accordance with laws of the republic of Kores without reference to its conflicts of law principles and as if fully performed therein, and will bind hte successions and assigns of each Party. The United Nations Convention on Contracts for the international Sale of Goods shall be inapplicable to this agreement.

All disputes, controversies or difierences out of, or in relation to, or in connection with this agreement and all amendments thereto, including any question regarding its existence, validity of termination, shall be finally resolved by arbitration under the auspices of the Korean Commercial Arbitration Board in accordance with the International Arbitration rules of the Korean Commercial Arbitration Board. The seat of arbitration shall be seoul, Korea. The number of arbitrations shall be three(3). The arbitration proceedings and resulting decision shall be made in English, and its decision shall be final and binding on both Parties.
