TRANSACTION CONDITIONS :

Geographic location of transaction :
Starting the first tranches to Vientiane (Laos) / location of verification and counting will be in Sacombank Vientiane.
Subsequent tranches in Saigon (Vietnam)

Purchase price :
If special authorization from FED for realization of this project : Gross 68% FOB
(ratio 68/32).
If authorization given by FED to handel international transactions of major global currency : Gross 80% FOB (ratio 80/20) up to USD 10B. Then the ratio 68/32 will be applied.

Purchase : First tranche proposed : USD 1B ; second tranche USD 9B.
Subsequent tranches in accordance with agreement between the parties.

The first tranche will be paid into a bank account opened to NTD’s name in Sacombank
Cambodia branch (Phnom Penh)
The subsequent tranches will be paid into a bank account opened to NTD’s name in Sacombank Laos Branch (Vientiane)
Payment currency : USD

The seller shall bear all organization, the security and logistics costs necessaryfor the good preparation and in order to make available in Vientiane/Saigon the products at the point in agreed between the two parts.

Security :
Geberal guarantee of payment (see below §b)
Guarantee for each tranche purchased with escrow accountor any acceptable solutions proposed by the buyer.

The above terms of the transaction will be included in a LOI accompanied by :

a) Certificat confirming funds transfer agreement from buyer’s bank to the seller’s bank account.
b) The buyer’s bank will confirm the following terms « the assurance of being paid by guaranteeing the different full and timely payments according the amounts and tranches defined between the two parts ».
c) The buyer’s bank (TOP 25 International Banks) will confirm its authorization given by FED (Licence number) to handle international transactions of major global currency, under privailing applicable laws.



PROCEDURE :

I) Signature LOI between the 2 parts : BUYER & SELLER AGENT
II) If agreement after checking, invitation from the seller’s agent (date and time to be agreed) for TTM and first tranche. Buyer will communicate to the seller’s agent the original bank documents a/b/c and LOI before signing the contract. Seller will communicate all documents concerning the product.



The present Commercial Offer is valid from the day of its issue, for the first tranche of purchase and all other tranches to come and whatever their amount.
The present Commercial offer is valid for the time necessary to achieve all tranches defined between the parties and this until the last.
It is agreed that facsimile copy or e-mail of this sending are deemed as legally binding as delivered originals.
