10. clearance documents
The seller supplies the shipping documents as belows:
03 signed commercial invoice
03 packing list in original
3/3 bill of loading in original and 03 copied
Certificate of origin issued by China Council for the Promotion of International Trade.
Other document if needed per buyer’s requirements.
11. Guarantee of quality
The Sellers shall guarantee that the goods are made of best materials, with firsr class workmanship brand-new, unused and correspond in all respects with the quality, specifications and performance as stipulated in this Contract
Period of guarantee: one year
12. order for approval
The acknowledgement/ acceptance of this sales order may please be issued within 02 days from date of recept by signing at the space provided here under. However if no acknowledgement/ acceptance is issued by you within the aforesaid period it will be assumed that all the terms and conditions of sales order have been: accepted by you without any change and all the terms and conditions would remain unchanged till the complete execution of sales order. After signing the sales contract all changes must be accepted by both parties with signature.
13. inspection and claims:
The manufactures shall before making delivery, make a precise and comprehensive inspection of the goods as regards their quality, specifications, performance and quantity/weigth.
After arrival of the goods at the port of destination, if the buyer find any specifications of the quantity/weigth or both is not apply with the contract, the buyer should make list and inform the seller.
14. objection
In case the quality, quantity or weight of the goods be found not in conformity with those as stipulated in this contract within 15 days after completion of the discharge of the goods at the port or in case the prefab houses be found not in conformity with confirmed layout within 15 days after completion of the prefab houses erected, the buyer can demure to the seller. It’s seller’s responsibility to reply the buyer and submit solution within 7 days ofter receiving demurral.
Any part of seller and buyer can submit the goods to the China Commodity Import and Export inspection Bureau for re-inspection within 60 days after the buyer demured if both of the seller and the buyer can’t get agreement about demurral, in case the quality, quantity or weight of the goods be found not in conformity with those as stipulated in this contract upon re-inspection, the buyers shall have the right to request the seller to take back the goods or lodge claims against the seller for compensation for losses upon the strength of the inspection certificate issused by the said Bureau, with the exception of those claims for inspection fees, interest, losses arising form the return of the goods or claims shall be borne by the seller. In such a case, the buyer may, if so requested, send a sample of the goods in question to the seller, provided that sampling and sending of such sample it feasible.
15. force majeure
The seller will exonerate the responsible for late delivery due to the force majuere reasons during the manufacturing or installation. The seller shall inform this delay to the buyer immediately affter force majeure occurs, and provide the accident certificate within 14 days via air express. Under such circumstances, the seller still needs to ship out the good as soon as possible.
16. arbitration
All disputes during the execution of this contract shall be settied by friendly consulation. If not, both parties can apply to the China international Economic and Trade Arbitration Commision (CIETAC) arbitraion in accordance with its rules and procedures for arbitration in China. The Commission’s rulling is final, both parties should be bound. The losing party shall bear the arbitration fee.
17. Other
In case the agreement can’t be reached, both party shall sign supplementary agreement to the contract for definition. The supplementary agreement has the same equal authenticity with this contract
The contract is made in English and it comes into force on the date of signature by both parties.
