20.7 Without prejudice to Supplier’

20.7 Without prejudice to Supplier’s obligation to perform the Services as set forth in the Agreement, in the event of a Service Agreement or part thereof being terminated for any reason, Supplier shall further at Gentherm's request provide Gentherm with transition services and post-termination assistance in good faith, possibly extending for the time after the effective date of termination, in order to enable Gentherm or an alternative third party service provider to continue the provision of Services fluently and without disruption and/or to ensure the orderly performance of the Services during the transition period ("Disengagement Assistance"). Disengagement Assistance shall be provided at Gentherm’s option by (i) extending the Service time after the effective date of termination as necessary, at the agreed Price, however, not for more than six (6) months and subject to Gentherm’s reasonable efforts to minimize the length of such period; and/or (ii) Supplier providing Gentherm with information (including but not limited to information relating to Supplier Personnel), resources, equipment, training and consultancy reasonably required to enable an orderly transfer of the Services to Gentherm or a third party service provider, such performance of Disengagement Assistance to be at Supplier’s cost unless involving substantial additional work agreed to be chargeable, in which case any such substantial additional work will be charged on a time and material basis at the agreed rates in force, or, if no rates are agreed, at reasonable and agreed prices.

Supplier shall further at request perform such additional undertakings as agreed by the Parties to apply upon termination of Services in part or in whole and/or the Service Agreement.

The terms of the Agreement shall apply to any Disengagement Assistance provided.
