Taking into consideration,
That on _____, 2016 a MOU has been concluded between Dhampur International Pte Ltd (hereinafter called “Dhampur”) and AMI PRODUCTION AND TRADING Co. Ltd. (hereinafter called “AMI”) regarding Insurance claim solely for the description of which we refer to MOU (hereinafter called “MOU”),
That Dhampur requires a performance guarantee as security for the amount, which may become payable by Dhampur to Insurance Company (company’s name) or their order in respect of contracts/trade with AMI,
Therefore, at the request of AMI, we bank INDOVINA BANK LTD hereby irrevocably and unconditionally undertake to pay to Dhampur, irrespective of the validity and the effect of the MOU, any amount up to maximum USD…….. (United States Dollars….)
Upon receipt by us of Dhampur’s first written and signed demand for the payment certifying that the Insurance Company has demanded back the insurance claim, to fulfil the obligation(s) of AMI under the MOU.
This guarantee is valid up to including 30 June 2018 and expires in full and automatically if Dhampur’s written demand for payment, sent by courier or registered mail, is not our possession on or before that date at our address:
#4-408, Hai Au Building, 39B Truong Son Str., Ward 4. Tan Binh Dist., HCMC, Vietnam.
This guarantee is personal to the Dhampur International Pte Ltd. and is not transferable or assignable.
This guarantee shall be governed by and construed in accordance with Singapore Law.
