TheSellerherewithsellsandthe BuyerherewithpurchasesElectrolyticCopperCathodes(GradeA,99.99%Purity,Non-LMEregistered),inaccordancewiththespecificationsandqualitydescribedinthiscontract(hereinaftercalled"Goods").
Thespecifications ofthegoodsareprovided inClauseNo.4.


DELIVERYBASISANDTERMS
Thesellershalldeliverthegoodsunderdeliveryterms:CIFinaccordancewithINCOTERMS- 2000.

Loading port: Roston on Port Don
Discharging port: FangCheng, China


QUANTITYOFGOODS

Theweightontheinvoiceshallbetheactualnetweightforshipping.Weightfranchiseof+/-5%comparedwiththedesireddeliveryweightshallbeallowed.Thesettlementofpaymentwillbetakenaccordingtotheactualnetweightdelivered.


STANDARDANDQUALITYOFGOODS
TheproductobjectofthiscontractisCopperCathodes(ElectrolyticCopperGradeA)LMEstandardsatapurityofminimum99.97%to99.99%andshallconformtoLondonMetalExchange(LME)standardandSpecifications inAppendixNo.2hereto.

PACKING


BundlesofElectrolyticCopperCathodesintwometrictonsonpallet,boundwithsteelstraps,packedinto20FootFCL(FullContainerLoad,approximately23-25MTpercontainer)suitableforlongdistancetransportationandwellprotectedagainstdampness,moisture,shockandrust.


ThegoodsshallbepackedinawaythatguaranteesthesafetyoftheCopperCathodesduringtransportation;SellershallsendtheCopper CathodespackedbytheManufactureraccordingtoManufacturer'sspecificationsinaluminumpallets.Woodenpalletsarenotacceptable.
Thegoodsshallbewellprotectedfromwaterandoxidationbysuitablecovers.Allpackingconditionsshallmeettheinternational,safestandard.
Eachpackageshallcontainthefollowing information:
• Contract Number
• ConsigneeDetails
• NumberofaBundle
• WeightGross
• WeightNet.


6. INSPECTION


Theselleruses SGS,AlfredKnightorAlexStewartastheinspectionauthorityattheloadingport,andanyotherequivalentinspectionagencyasmaybepermittedandacceptedbytheBuyer.Theinspectionwillbeconductedintheappointedlocationpriortothedeliveryoftheshipment bytheinspectionagencymutuallyagreed uponforquality,quantity/ weight,andthePre-shipmentinspectioncertificateswillbeissued.Allcostspertainingtoinspectionsattheloadingportwillbepaidbytheseller.

TheBuyershallbeentitledtowitnesstheinspectionandloading ofsaidgoods anddocumentsatthetimeofcontainerstuffing.AnapprovedandlicensedshippingagentofBuyer's choosingandpaidbyBuyer,suchasHellmannLogistics,supervisesthe stuffingandthensealingthecontainer/s,andthesealnumbersrecordedincontractdocuments. TheSellerwillpayforlocal logisticsexpensesandlocalinspectionexpenses.

Thecertificatesofquantity andqualityissuedbytheCIQ/CCICorSGSatunloadingportshallbepaidbythebuyer.ThecertificatesissuedbySGSorCCIC/CIQatdestinationportwillbethefinalbasisofsettlementofqualityandquantity.

8.0.DELIVERY TERMS:


Thefirstshipmentshouldshipnotlaterthan15daysafterseller'sreceiptofthebuyer'sLCwhichhasbeenacceptedbyseller'sbankandbeforeendofMARCH-2015.

Subsequentshipmentsshouldshipat regularmonthly schedulewithin30daysofthelastshipment(seeAppendix1).TheLCissuingBankshallguaranteepaymenttothebeneficiaryagainsttherequireddocuments.

"Dateofdelivery"shallbethedateontheBillof Lading.


"DateofArrival"meansdatewhenthevesselshouldbealongsidequayandavailableforBuyertotakedeliveryofthegoods as per bothSellerandBuyer'smutualnotificationsandprovisionsinthecontract.

Irrevocable,Non-Transferable,DLC(Documentary LetterofCredit)with120days expirationdatewillbeissuedbythebuyertotheSeller's bank underfollowingsteps:

FORCEMAJEURE
BothpartiesinthiscontractwillbeexoneratedfromtheirobligationincaseofForceMajeureevent.ForceMajeure isunderstoodasfire,explosions,hurricanes,floods,earthquakesandsimilarnaturalcalamities,wars,epidemics,militaryoperations,terrorism,riots,revolts,strikes, industrialunrest.


ThepartytothiscontractwhoseperformanceofthiscontractispreventedbyaForceMajeureeventmustnotifytheotherpartywithinseven(7)daysoftheeffectivedateofoccurrence,andthenoticeistobeconfirmedbyacertificateissuedbythelocalchamberofcommerceandotherauthorizedorganizationfortheeventandtheestimateddurationthatit willlast.


Failuretosubmitsuchanotificationwillpreventtheparty'sexonerationfromcontractualobligationsundersuchForceMajeureevent.


ShouldthedelaycausedbyaForceMajeureeventlastformorethanone(1)monththetwosideswillattempttoagreemeasurestoallowcontracttocontinue.ShouldsuchanagreementnotbereachedwithinThirty(30)daysfromthe dateofcertifiedForceMajeureevent,thetwosidesareentitledtoterminatethecontract.


SELLER'SLIABILITY


LateDeliveryAndPenalty:
IftheSellerfailtomakedeliveryontimeasstipulatedinthecontract,withtheexceptionofForce MajeurecausesspecifiedinClause11ofthiscontract,theBuyershallagreetopostponethedeliveryon theconditionthattheselleragreestopay apenaltywhichshallbedeductedbythepayingbankfromthepaymentundernegotiation. Therateofpenaltyischargedat0.02%perdelayedday.
IncasetheSellerfailstomakedelivery within30days,theBuyershallhavetherighttocancelthecontractandtheSeller,andSellermustagreetocanceltheLC.
Toavoid cancellationof contractandLC,Sellermustpaytheaforesaidpenaltytothebuyerwithoutdelay.


IfSellerfailstodeliverfullquantityofanyconsignment,onlywhengettingtheconfirmationfromthebuyer,hehastherighttomakeitcompletewiththenexttwoconsignments.


IftheBuyerdecides,atanytime duringtheperiodofdelivery,totakeonlyapartialdeliveryratherthanwaitforthefullquantity(ifthequantityisnotalreadyavailableinportand readyforloading),thentheSellerwillnotbeliableforliquidateddamage.

AnysumsforwhichtheSellerareliableaspenaltiesforwhich noprovisionaremadeinthiscontractaremadeagainstinvoiceissuedbythedamagedsideandbybanktransferwithinmaximumten(10)bankingdays asfromthesubmittedinvoicedate.


BUYER'SLIABILITY


TheBuyer isresponsibleforallfeesthatoccuroncethevesselisdockatthedestinationPortofChina.ThiswillincludetheChinaImportTax,anywarehousecharges,Dockclearingandcleaning chargesandanyothercharges occuratdischargingport.
