(b) We note that the mark no. T1416849C is pending registration in Class 40 for the goods “Food and Beverage and other Food”. We take view that the examiner will not approve the registration of the mark since Food and Beverage is proper to classes 29, 30, 31 and 32.
(c) We note that mark no. T1400552G has been treated as withdrawn. The applicant has up to 6 March 2015 to file a reinstatement of mark and respond to the outstanding objection by the examiner.
5.3 Registered Designs
(a) Searches in the Registry of Designs accurate up to 12 November 2014, IPOS have not revealed any registrations or applications for registration of registered designs in the name of the Company.

(a) The Directors have confirmed that there is no material contract or documents regarding the usage and protection of copyrights.

(a) Based solely on the Questnet Search conducted on 17 November 2014 for the years 25 December 2013 to 17 November 2014:
(i) no other actions have been commenced nor judgments revealed in the District Courts of Singapore against the Company or its assets;
(ii) no actions have been commenced nor judgments revealed in the Magistrate Court of Singapore against the Company or its assets;
(iii) no other actions have been commenced nor judgments revealed in the Subordinate Courts of Singapore against the Company or its assets;
(iv) no actions have been commenced nor judgments revealed in the Supreme Court of Singapore against the Company or its assets;
(v) there are no proceedings are pending or threatened against the Company; and
(vi) no action has been taken to wind-up the Company or to appoint a receiver or manager over its assets.
6.2 Mac Mai Lan
(a) Based solely on the Questnet Searches conducted on 20 November 2014 [for the years 2012 to 2014]:
(i) no other actions have been commenced nor judgments revealed in the District Courts of Singapore against Mac Mai Lan or her assets;
(ii) no other actions have been commenced nor judgments revealed in the Magistrates Court of Singapore against Mac Mai Lan or her assets;
(iii) no other actions have been commenced nor judgments revealed in the Subordinate Courts of Singapore against Mac Mai Lan or her assets;
(iv) no actions have been commenced nor judgments revealed in the Supreme Court of Singapore against Mac Mai Lan or her assets;
(v) there are no proceedings are pending or threatened against Mac Mai Lai; and
(vi) no action has been taken to bankrupt Mac Mai Lan.
7. MATERIAL CONTRACTS
(a) Material contracts means any contract which:-
(i) were entered into in the past 2 years (including those that have been terminated); and
(ii) are material in nature; and
(iii) were not entered into by the Company in the ordinary course of business.

8. INSURANCE
As far as we have been made aware and as disclosed to us, the Company has no other insurance policy.
9. EMPLOYMENT
Based on the documents provided to us and as far as we have been aware, the Company has no employees as of 21 November 2014. The manpower required to run the Company’s operations is and has been that seconded to the Company from [NAME OF COMPANY]. We recommend that the Seller confirm that there is an existing services agreement between the Company and [NAME OF COMPANY] concerning the provision of manpower.
10. MORTGAGES AND CHARGES AND OTHER ENCUMBRANCES
As far as we have been made aware and as disclosed to us, there are no mortgages, charges or other encumbrances on the assets of the Company. The ACRA search result conducted on the Company as at 29 October 2014 does not reflect any mortgages, charges or other encumbrances.
11. CREDIT FACILITIES

(b) We note that the mark no. T1416849C is pending registration in Class 40 for the goods “Food and Beverage and other Food”. We take view that the examiner will not approve the registration of the mark since Food and Beverage is proper to classes 29, 30, 31 and 32.

(iii) no other actions have been commenced nor judgments revealed in the Subordinate Courts of Singapore against the Company or its assets;
(iv) no actions have been commenced nor judgments revealed in the Supreme Court of Singapore against the Company or its assets;
(v) there are no proceedings are pending or threatened against the Company; and
(vi) no action has been taken to wind-up the Company or to appoint a receiver or manager over its assets.
6.2 Mac Mai Lan
(a) Based solely on the Questnet Searches conducted on 20 November 2014 [for the years 2012 to 2014]:
(i) no other actions have been commenced nor judgments revealed in the District Courts of Singapore against Mac Mai Lan or her assets;
(ii) no other actions have been commenced nor judgments revealed in the Magistrates Court of Singapore against Mac Mai Lan or her assets;
(iii) no other actions have been commenced nor judgments revealed in the Subordinate Courts of Singapore against Mac Mai Lan or her assets;
(iv) no actions have been commenced nor judgments revealed in the Supreme Court of Singapore against Mac Mai Lan or her assets;
(v) there are no proceedings are pending or threatened against Mac Mai Lai; and
(vi) no action has been taken to bankrupt Mac Mai Lan.
7. MATERIAL CONTRACTS
(a) Material contracts means any contract which:-
(i) were entered into in the past 2 years (including those that have been terminated); and

(iii) were not entered into by the Company in the ordinary course of business.

The manpower required to run the Company’s operations is and has been that seconded to the Company from [NAME OF COMPANY]. We recommend that the Seller confirm that there is an existing services agreement between the Company and [NAME OF COMPANY] concerning the provision of manpower.
10. MORTGAGES AND CHARGES AND OTHER ENCUMBRANCES
As far as we have been made aware and as disclosed to us, there are no mortgages, charges or other encumbrances on the assets of the Company. The ACRA search result conducted on the Company as at 29 October 2014 does not reflect any mortgages, charges or other encumbrances.
11. CREDIT FACILITIES
