AGREEMENT of ENGINEERING DESIGN FOR INDUSTRIAL AND POLYURETHANE PAINT PLANTThis Agreement made at Sebring Co., Ltd. 1866 Patanakan Road, Suanluang, Bangkok 10250, Thailand on Saturday, 17 October, 2015.BETWEENG8 Paint COMPANY having its registered office at …….address……… by Mr.……….. herein after referred to as "the Company" which expression shall unless repugnant to the context or meaning thereof be deemed to mean and include its successors and assigns of the ONE PART.ANDSebring Co., Ltd. Address: 1866 Patanakan Road, Suanluang, Bangkok 10250, Thailand by Mr. Suroj Sirirattanont, the President, hereinafter referred to as "the Contractor" of the OTHER PART.WHERE AS A. The Company is engaged in the business of Paint Manufacturer and Distributor.B. The Contractor is an Engineering Company and has extensive knowledge and experience in the field of Engineering, Design, and Project Management & Construction Supervision of Paint Plant Projects.C. The Company desires to engage the services of the Contractor to avail of his advice and expertise for the Polyurethane and Industrial Paint Plants of the Company for the manufacture of the Company’s products in Vietnam and the Contractor agrees to render the Services (as defined herein below) to the Company for the said Project on the terms and conditions hereinafter contained.Now, therefore, for and in consideration of the mutual covenants and agreements hereinafter set forth, the Parties hereto agree as follows:1. DefinitionsIn this Agreement, the following terms, to the extent not inconsistent with the context thereof, shall have the meanings assigned to them herein below:(a) "Effective Date" means …..date….. 2015 (b) "Services" means and includes advice for good recommendation for Vendor Selection, Construction and any other matter in relation to the Project and supervision of Project Engineering & Design to meet the project owner objectives. Plant design means and includes good recommendation for matters related to the project from design, vendor selection, equipment and machinery recommendation. Supervision means and includes to monitor and to inspect works done to meet all project contents, technical design, machinery installation, and to assist in checking and taking over partially and totally in the scope of work.2. Appointment & Duration (a) The Company appoints the Contractor and the Contractor accepts the appointment to render the Services as a consultant to the Company as described in this Agreement for a period of 180 days commencing from the Effective Date.(b) In rendering the Services, the Contractor will primarily report to the Project Managers of the Company based in Vietnam. The company will appoint a Project Manager to expedite the project activities.(c) The Contractor shall provide the services and such other responsibilities and duties as are incidental thereto or implied there from, consistent with the skill, care and diligence expected of a Project and Engineering Design professional with experience and qualifications as that of the Contractor. The Contractor shall provide the Services and shall carry out all his responsibilities and duties in a proper, faithful, diligent and efficient manner, and use his best endeavors to protect the interest of the Company and in consonance with the ethics and policies of the Company.(d) The Contractor shall be expected to observe the Company rules and regulations, code of conduct applicable from time to time while performing the Services.(e) The company must provide adequate project team to support the contractor to find out information for the engineering design of this project.(f) The contractor shall keep all information relating to raw material name, formulae with most confidential.3. Fees(a) The fee is based on Scope of Work in Annex 1 and 2.(b) The Company shall pay the Contractor services fees at the rate of USD 200,000 (Two hundred thousand USD). Any taxes regarding the execution of this contact incurred in Vietnam shall be borne by the Company and in Thailand shall be borne by the Contractor. Any eventual withholding taxes are also excluded from this price.(c) The Contractor will pay for airfare, accommodation, and meals during the project period. The Company will pay for transportation between hotel and factory. (d) This fee is divided into six paymentsFirst PaymentUSD 50,000 (Fifty Thousand USD) payment by T/T in advance when this contract signs. Second Payment USD 50,000 (Fifty Thousand USD) is for completion of the conceptual design.Third Payment USD 50,000 (Fifty Thousand USD) is for completion of the detailed design.Fourth Payment USD 30,000 (Thirty Thousand USD) is for actual locating of machines installation in the factory. In case of the project delay by the company with ever reasons, fourth payment should be paid to the contractor not more than 60 days after the third payment.Fifth Payment USD 10,000 (Ten Thousand USD) is when all machineries arrive the factory.Sixth Payment USD 10,000 (Ten Thousand USD) is when all machineries complete installation and test run.However, the Contractor shall provide consulting work after the sixth payment for a period of 360 days or until all machineries works properly as a warrantee. Airfare accommodation and meal will be borne by the Contractor during this warrantee period, but transportation will be borne by the Company. (e) The Contractor shall be visiting the Company not more than 7 times during 180 working day project period. In case the project extends more than 180 working days and more than 7 times Vietnam visits, as per additional Company’s request, the Company agrees to pay for traveling expenses to project site, accommodation and transportation in Vietnam. Manner of PerformanceThe Contractor represents that he has the requisite expertise and ability to render the Services. The Contractor shall be free to exercise his discretion and independent judgment as to the method and means of performance of the Services. 5. TerminationBoth parties must agree to terminate this agreement by serving one month - notice in writing Termination of this contract can be done only in the following cases:1) War – declared and non-declared 2) Cancellation of factory permit by authority3) Contractor does not perform duties required by the Company as described in this contract and has been notified two times by the Company.4) Payment is not paid to the Contractor on time.In case, the Company, wishing to terminate this Agreement according to 1), 2) and 3) fails to give the said notice, an amount of the last payment fee, will be paid to the Contractor.In case, the Contractor wishes to terminate this Agreement according to 4), the Contractor will send notice to the Company, an amount unpaid payment fee will be paid to the Contractor within one month. If either party breaches seriously this Agreement, the other party shall have the right to terminate this Agreement forthwith without any liability to the other. The rights granted by this clause are in addition to all other remedies and rights available at Vietnam law or in equity. ANNEX 1SCOPE OF WORKAfter receiving the first payment, Sebring will come to visit G8paint factory and held meetings with G8 Paint project team to find suitable process and equipment to produce Polyurethane (PU) and Industrial Paints (IND). The first kick off meeting will last approximately 5 working day. The following works are plan as below:1. Conceptual process design for PU, IND and Nitrocellulose solution (NC) building and Floor layout requires the following tasks: 1.1. G8 Paint shall set up project team for PU project, IND project and NC project.1.2. G8 Paint provides engineering drawing of plot plan for existing and new factory.1.3. G8 Paint provides meeting room with projector and white broad 1.2 m. x 2.4 m. 1.4. Set up meeting with SEBRING team to find out details requirement of raw material and finished goods and set up project target.1.5. G8 Paint provides Vietnam government regulation to store NC raw material and NC solution. 1.6. Sebring provides electrical classification for both factory to ensure safety compliance. 1.7. G8 Paint will provide a list of existing equipment such as Disperser, Mixer, Air compressor, Dust collector, ventilator as well as capacity and horse power of each of the equipment.1.8. Conclude material handling of raw material storage, intermediate storage and finished goods storage.1.9. Conclude raw material flow chat and equipment flow chart.1.10. G8 Paint shall approve the conceptual design before proceeding to detail design.2. Detail design 2.1. SEBRING will provides final process flow chart of the project, equipment list and specification together with suggested equipment suppliers.2.2. SEBRING will provides building specification and equipment layout as well.2.3.
