In response to your request of explanation on fixed asset (“FA”) purchase of Unilever Vietnam International Limited (UVI) during the period 2009-2014 (“the Period”), we would like to enclose herewith the following documents:

(i) Appendix 1 - List of FA purchase for replacement purpose
(ii) Appendix 2 - List of FA purchase for customization of products
(iii) Appendix 3 - List of FA purchase for safety, health, environment, and quality

To facilitate your review of the above information, we would like to have the following explanation:

1. FA purchase for replacement purpose

UVI has gradually replaced the old machinery and equipment, plant, warehouse which were damaged, worn out, or under the required factory standards because these assets were invested in 2003 when UVI had moved to Cu Chi Industrial Zone. The investment in new assets for the purpose replacement, repairment is a norm of business which UVI considers them as regular purchase of fixed assets.

We understood your request of mapping each assets under this list to each disposed asset so as to verify the actual replacement, instead of addition/ upgrade of assets. However, this request is operationally infeasible because there are hundreds of assets which have replaced over the time and one asset could replace a group of assets due to change/ modification of product formulation.

In practice, to operationally track the purchase of assets for replacement purpose, UVI manages the replacement through each project, product plant wherein an annual audit of assets has been carried out by UVI’s team and reported to seek for a budget of replacement or repair of assets. Therefore, you will find in the list that we have made a great effort to map the asset to each product plant which have been undergone replacement project.

2. FA purchase for customization of existing products

UVI invested in these FA to facilitate the following production purposes:

 Customisation of existing products due to modification of ingredients (e.g. color, fragrance, fabric type care), packaging, shape of products. These are essentially invested to cope with the customer’s demand and taste which have been changing quickly in the fast consuming goods industry.

 Modification of existing products in bringing Unilever’s global product strategy to local market.

 Localisation the packaging system (e.g. labelling in Vietnamese) to suit the local market’s demand.

We believe that the above lists of assets, even though are integral part of production, do not give rise to the business expansion which are understood as “investment to enhance capacity” because these assets are fundamentally support the technical changes in customer’s consumption demand to the existing products, not to cause a new product range of UVI.

3. FA purchase for savings, safety, health, environment, and quality

These group of FA have been invested to support the following purposes, which are definitely not a contributing element to production capacity:

 Savings: new equipment have been installed to reduce the manual workforce at the packaging stage, including trolley, check weigher system, pallet lifter, energy saving by using the plastic roof to allow daylight passing through the building.

 Safety & Health: UVI has put a lot of investment in assets to protect our employee’ well-beings which is our most important mission. These included new ventilation system, fire-fighting system, lighting system to ensure the worker’s vitality, dust collecting system, evacuation system, warehouse locking system, camera system which have been installed in UVI’s factories and buildings.

 Environment protection: waste water treatment systems have been upgraded, built to replace the old ones built in 2004 to meet the local regulatory requirements and Unilever Global Environment commitment.

 Quality control: new assets have been purchase for laboratory tests, investment in packing machines to be connected with the mixing machine to ensure the quality and hygiene of products.

We hope to give a good understanding on UVI’s fixed assets investment in the context of fast manufacturing consumer goods industry and UVI’s operation. With this explanation, we expect you to share with you an understanding of our business in order to arrive at a good conclusion on our investment in new fixed assets without being prejudiced by the concept of business expansion wherein any new purchase of fixed assets are deemed to cause capacity enhancement
