Advent Business Sales Limited (“Advent”) – Non-Disclosure Agreement
This agreement (NDA) protects the Protected Material (as defined below) of
Advent’s client, being the company/business (hereinafter referred to as “the
Target”) identifiable by the unique Advent reference number detailed below:

The Potential Acquirer makes the commitments contained in this NDA to the
Target, having approached Advent, as the sole selling agent for the Target, to
disclose information, including Protected Material, to allow the Potential
Acquirer to consider a potential purchase of the Target or its business and/or
shares and/or assets. In consideration of the Target disclosing, via Advent, to
the Potential Acquirer information, including Protected Material, the Potential
Acquirer provides the contractual commitments set out within this NDA to the
Target and confirms that the PADF at Schedule 1 has been completed fully
and accurately.
The release of Protected Material (or information of any kind) is entirely at the
discretion of the Target. This NDA does not entitle the Potential Acquirer to
any Protected Material or information, and the Target may decline to disclose
information notwithstanding the execution of this NDA by the Potential
Acquirer without having to disclose a reason.
