Article 8: Penalty
Any complain about quality must be in written form and sent to the seller within 60 days shipment date. Upon this time, the seller will be free from complaint. Within 15 days since receiving the buyer’s complaint, the seller must sent his or her representative for counter inspection. If the goods is not up to the stipulated in this contract, the seller is liable for replacing new goods compatible with the contract. If the seller fails to do so in due time, the buyer is allowed to have vinacontrol inspect. The inspection result by Vinacontrol will be final and binding both sides.

Article 9: Arbitration
9.1. During the implementation of this agreement, if any dispute of the two sides but not settled by negotiation method, the dispute will be provided by an International Arbitration Center Hong Kong (HKIAC) resolve and reverse again. The decision of the international arbitration center in Hong Kong will be considered final and binding on both parties.
9.2. Fee arbitration and other relevant charges shall be borne by the losing party unless agreed otherwise.
9.3. Location arbitrate in international arbitration center in Hong Kong.
9.4. English is the language used in arbitration.
Article 10: Claim
10.1. The Seller as the ability for processing the inspection of goods before shipment and to bear all expenses occured.
10.2. In the case of loss or damage after goods landed at port of arrival all by the Buyer shall be made claim for quantity must be presented 15 days after arrival of goods at Haiphong Port, claim for quality within 30 days after the goods at Haiphong Port, and shall be confirmed in writting together with survey report of the goods inspection office of the VINACONTROL. The survey report of VINACONTROL should be regards as final.
10.3. Whenever such claim is to be proved as of the seller's responsibility. The seller shall settle without delay.
Article 11: Applicable law
Law governing the contract will be the United Nations Convention on contracts for the International Sale of Goods (Vienna Sales Convention of 1980, hereafter referred to as CISG).






Article 12: Other clauses
12.1. Any modification or supplement of the contract will only have value if the competent representatives of the two sides to sign the text amended and supplemented. The revised text, this supplement will be an integral part of the contract. English will be used in all transactions, communications between the two sides.
12.2. Any amendment of the terms and conditions of this contract must be agreed to by both sides in writing.
12.3. This contract is made in 06 originals in the English language, three for each party.
