Obligations of Party B
 Arrange Offline/Visa Card machine in Vietnam, deposit and transfer money as requirement by the owner that have bank account in Cambodia and other countries as below:

Article 2: Distribution of money as percentage
In the total amount is divided into two parts as below:
 Party A who is the owner of Offline/Visa cards will receive ……….%
 Party B who is the owner of Offline machine and BIDV bank will receive ……….%
Article 3: Obligations of Party A and Party B
 Withdrawal via Offline machine made in Vietnam
 Party A withdraw an amount of……………………..(Billion) from Offline machine of Party B
 Party B will withdraw the amount of………………………per day
 Party B shall arrange to transfer the part of Party A who is the owner of Offline/Visa cards in BIDV bank of Vietnam to Cambodia as specified by the owner of Offline card.
Article 4: Responsibility of Party A
 Party A ensures that these cards do belong to his genuinely without any fraudulent and available to use as requirement.
Article 5: Responsibility of Party B
 Party B ensures that he do have Offline/Visa cards that are available to use as requirement genuinely.
Article 6: Compensation and Damage of Party A and Party B
 Both parties have agreed to compensate damage of each other which caused by the own fault actually in the amount of 100,000USD (one hundred thousand US Dollar).
 Party A shall compensate damage caused by Offline/Visa cards which are unavailable to use although in any case.
 Party B shall compensate damage caused by no Offline/Visa cards machine to conduct transaction to withdraw and transfer money to Party A in Cambodia and other countries even in any case.
Article 7: Governing Law
 This contract shall be applied with the law of the Kingdom of Cambodia.
Article 8: The Entirety of Agreement
Both parties of this contract have read and approved with all conditions stipulated herein and strictly to comply with all articles of this contract and affix signature and stamp in the present of attorney without any force from any party, after this contract entered into effective, other previous written contract shall be considered as abrogated.
This contract will become effective from the date that Party A and Party B affix signature and stamp onward.
This contract is made in 8 copies in Khmer 04 copies and English 04 copies, Party A keeps two copies, Party B keeps two copies, two copies kept at attorney office and two copies kept at the bank.

Nghĩa vụ của Bên B
 Sắp xếp máy Offline / Visa Card tại Việt Nam, tiền gửi và chuyển tiền theo yêu cầu của chủ sở hữu có tài khoản ngân hàng tại Campuchia và các nước khác như 2: Phân phối tiền theo phần trăm trong tổng số tiền được chia thành hai phần như sau:  Bên A là chủ sở hữu của thẻ Offline / Visa sẽ nhận được .........%.  Bên B là người chủ sở hữu của Offline máy và BIDV ngân hàng sẽ nhận .........%. Điều 3: Nghĩa vụ của Bên A và Bên B  Rút qua tuyến máy sản xuất tại Việt Nam  Bên A rút một số tiền ........................ .. (Billion) từ tuyến của máy Bên B  Bên B sẽ thu hồi số tiền của ........................... mỗi ngày  Bên B sẽ thu xếp để chuyển các phần của Bên A là chủ sở hữu của thẻ Offline / Visa tại ngân hàng BIDV của Việt Nam sang Campuchia như . theo quy định của chủ sở hữu của Offline thẻ Điều 4: Trách nhiệm của bên A  Bên A đảm bảo rằng những thẻ không thuộc về thực của mình mà không có bất cứ gian trá và có sẵn để sử dụng như yêu cầu. Điều 5: Trách nhiệm của bên B  Bên B đảm bảo rằng ông không có thẻ Offline / Visa mà có sẵn để sử dụng như yêu cầu thực sự. Điều 6: Bồi thường và thiệt hại của Bên A và Bên B  Cả hai bên đã đồng ý bồi thường thiệt hại của mỗi khác mà do lỗi của riêng thực sự với số tiền là 100.000 USD ($ 100,000).  Bên A phải bồi thường thiệt hại gây ra bởi thẻ Offline / Visa mà không có sẵn để sử dụng mặc dù trong trường hợp nào.  Bên B phải bồi thường thiệt hại gây ra bởi không Offline / Visa card máy để tiến hành các giao dịch rút và chuyển tiền cho Bên A tại Campuchia và các nước khác ngay cả trong trường hợp nào. Điều 7: Luật  Hợp đồng này sẽ được áp dụng với pháp luật của Vương quốc Campuchia. Điều 8: Toàn vẹn của Hiệp Cả hai bên của hợp đồng này đã đọc và chấp thuận với tất cả các điều kiện quy định trong tài liệu này và nghiêm chỉnh tuân thủ tất cả các bài viết của hợp đồng này và đóng dấu trong sự có mặt của luật sư mà không có bất kỳ lực lượng từ bất cứ bên nào, sau khi hợp đồng này có hiệu hiệu quả, hợp đồng trước bằng văn bản khác sẽ được coi là bãi bỏ . Hợp đồng này sẽ có hiệu lực kể từ ngày Bên A và Bên B đóng chữ ký và đóng dấu trở đi. Hợp đồng này được lập thành 8 bản tại Khmer 04 bản và tiếng Anh 04 bản, bên A giữ hai bản, bên B giữ hai bản, hai bản lưu tại văn phòng luật sư và hai bản sao lưu tại ngân hàng.
