In the event AbbVie in good faith disputes any amount on any Agency invoice, AbbVie and Agency agree to use their best efforts to resolve such dispute within ninety (90) days after AbbVie provides written notification of the dispute to Agency. Agency agrees to provide full supporting documentation concerning any disputed amount or invoice to AbbVie within thirty (30) days after AbbVie provides written notification of the dispute to Agency. Provided that AbbVie has furnished written notification of the dispute to Agency within thirty (30) days after AbbVie received the disputed invoice, AbbVie shall have no obligation, during the ninety (90) day period specified above, to pay any amount that AbbVie reasonably disputes hereunder. This Section 4.7 shall survive the termination of this Agreement.

Taxes. Agency represents and warrants that it is an independent contractor for purposes of any taxes. Agency agrees that AbbVie is not responsible to collect or withhold any taxes, including, but not limited to, income tax withholding, Tax Department and Social Security Fund or other and social security contributions, for Agency or its employees. Any and all taxes, interest or penalties, including, but not limited to, any withholding or employment taxes, imposed, assessed, or levied as a result of this Agreement shall be paid or withheld by Agency or, if assessed against and paid by AbbVie, shall be reimbursed by Agency upon demand by AbbVie.
