GUARANTEE


To: Joint Stock Commercial Bank for Foreign Trade of Vietnam (Vietcombank)

This guarantee (this “Guarantee”), dated as of [DATE of this Guarantee], is made by LG Electronics Inc., a corporation incorporated under the laws of the Republic of Korea,having its principal place of business at [LG Twin Tower 128, Yeoui-daero, Yeongdeungpo-gu, Seoul, Republic of Korea](the “Guarantor”), in favor of Joint Stock Commercial Bank for Foreign Trade of Vietnam (Vietcombank)and eachsubsidiary and affiliate thereof, including each of its branches wherever located(including its assigns and successors, collectively, the “Bank”).

For good and valuable consideration and to induce the Bank to extend and/or maintaincredit to or for the account of [LG Electronics Vietnam Haiphong Co., Ltd.](the “Principal”), the Guarantor hereby , as primary obligor, unconditionally and irrevocably and jointly and severally with the Principal:

(a) guarantees to the Bank punctual performance by the Principal of all the Principal's obligations under the [facility agreement dated [*] (the “Facility Agreement”) entered into by and between the Bank and the Principal] (including, without limitation, any obligations of the Borrower (whether as principal or otherwise and whether present or future, actual or contingent) arising on or before the date of this Guarantee under the Facility Agreement);

(b) to immediately on demand pay and satisfyto the Bank any and all obligations (now or hereafter existing) of the Principal to the Bank in any form, under or in connection with any and all extensions of credit extended or maintained by the Bank under the Facility Agreement,whether for principal, interest, fees, expenses, costs, settlement amounts, close-out amounts, reimbursement amounts or otherwise, in each case strictly in accordance with the terms thereof, including without limitation, interest and other amounts that would accrue but for the commencement of bankruptcy, reorganization or insolvency proceedings (or other similar proceedings), whether or not allowed in such proceedings(all such obligations, the “Obligations”); [BKL Note: The underlying transaction guaranteed by this Guarantee must be specified for the purpose of foreign exchange report under the Foreign Exchange Transactions Regulations of Korea. Although a guarantee covering all obligations arising from various types of financing transactions between the principal obligor and a bank may be deemed valid under Korean law (called, kun-guarantee in Korean), Korean foreign exchange authorities generally require the underlying transaction guaranteed by a guarantee to be specified in the relevant foreign exchange report. If the scope of underlying transaction guaranteed by this Guarantee must remain unspecified as provided in the initial draft, whenever the Guarantor is actually required to perform its obligations to the Bank, the Guarantor and the Bank may have to enter into a separate settlement agreement and a foreign exchange report may also be required to be filed for such settlement agreement.]
