This Scope of Work (the “SOW”) desc

This Scope of Work (the “SOW”) describes the proposed work to be undertaken (the “Services”)
by IBM Vietnam Company Limited (“IBM”) situated at 2nd floor, Pacific Place Building, 83B Ly
Thuong Kiet street, Hoan Kiem district, Ha Noi for Saigon Union of Trading Cooperative
(“Customer”) having its office address at 199-205 Nguyen Thai Hoc Street, District 1, Ho Chi Minh
City, Vietnam. The SOW will be subject to the terms and conditions of the IBM Client Relationship
Agreement (the “Referenced Agreement”) to be signed between IBM and Customer.
This SOW supersedes all prior agreements, understandings, or arrangements (whether oral or
written) relating to the content to be carried out herewith.
This SOW contains information of a proprietary nature. All information contained herein shall be
kept in confidence. The data in this SOW shall not be duplicated, used or disclosed in whole or in
part for any purpose other than to evaluate the SOW, provided that if a contract is awarded to
IBM as a result of or in connection with the submission of this SOW, the Customer shall have the
right to duplicate, use or disclose the data to the extent provided by the contract. This restriction
does not limit the right of the Customer to use the information contained in this SOW if it is
obtained from another source without restriction. IBM retains ownership of the intellectual property
subsisting in this SOW.
Any changes to this SOW will be processed in accordance with the Change Control Procedure in
Appendix A. The investigation and the implementation of changes may result in modifications to
the estimated schedule, charges, and other terms of the SOW.
All deliverable material will be accepted in accordance with the Deliverable Material Acceptance
Procedure in Appendix C.
The complete agreement (“Agreement”) between the parties shall comprise of the Referenced
Agreement, the SOW and any Variation Order. The documents shall be read together and in the
event of any conflict between these documents, the Variation Order will take precedence followed
by the SOW and lastly will be the Referenced Agreement

đường phố Thường Kiệt, Hoàn Kiếm huyện, Hà Nội cho Sài Gòn Liên hiệp các Hợp tác xã Thương mại
("Khách hàng"), có địa chỉ trụ sở tại 199-205 Nguyễn Thái Học, Quận 1, Hồ Chí Minh
City, Việt Nam. Các thỏa thuận sẽ bị áp dụng các điều khoản và điều kiện của khách hàng Quan hệ IBM
thỏa thuận ("Hiệp định Referenced") được ký kết giữa IBM và khách hàng.
SOW này thay thế cho tất cả trước khi thỏa thuận, sự hiểu biết, hoặc các thỏa thuận (dù bằng lời nói hoặc
bằng văn bản) có liên quan đến các nội dung được thực hiện theo Thông tư này.
SOW này có chứa thông tin có tính chất độc quyền. Tất cả các thông tin trong tài liệu này được
giữ kín. Các dữ liệu trong bản thỏa thuận này không được sao chép, sử dụng hoặc tiết lộ toàn bộ hoặc một
phần cho bất kỳ mục đích nào khác hơn để đánh giá thỏa thuận, với điều kiện là nếu hợp đồng được trao cho
IBM như là một kết quả của hoặc liên quan đến việc nộp các bản thỏa thuận này , các khách hàng sẽ có
quyền sao chép, sử dụng hoặc tiết lộ các dữ liệu ở mức độ quy định của hợp đồng. Sự hạn chế này
không giới hạn quyền của các khách hàng sử dụng các thông tin trong bản thỏa thuận này nếu nó được
lấy từ nguồn khác mà không hạn chế. IBM giữ quyền sở hữu tài sản trí tuệ
tồn tại đối với thỏa thuận này.
Bất kỳ thay đổi để thỏa thuận này sẽ được xử lý theo quy định của điều khiển Thủ tục Thay đổi trong
Phụ lục A. Các điều tra và thực hiện các thay đổi có thể dẫn đến việc sửa đổi
lịch trình, chi phí ước tính, và các điều khoản khác của bản thỏa thuận.
Tất cả các tài liệu chuyển giao sẽ được chấp nhận theo quy định của Chấp nhận Chất liệu chuyển giao
Procedure trong Phụ lục C.
Các thỏa thuận đầy đủ ("Hiệp định") giữa các bên bao gồm các Referenced
Hiệp định, các thỏa thuận và bất kỳ Variation Order. Các tài liệu sẽ được đọc với nhau và trong các
sự kiện của bất kỳ cuộc xung đột giữa các tài liệu này, Dòng Biến thể sẽ được ưu tiên theo sau
bởi các thỏa thuận và cuối cùng sẽ là Hiệp định Referenced
