In addition to or as an alternative to physically inspecting Vendor as set forth immediately above, Vendor agrees that, during the Term of this Agreement, Lowe's may designate the Vendor's as a "Key Service provider". In the event Lowe's from Vendor's independent auditor, at Vendor's expense, a Type 2 report that includes a description of the "system" as well as a written assertion by management issued pursuant to and conformance with either (i)the Statement on Standards for Attestation Engagements ("SSAE")No. 16 developed by the Auditing Standards on Assurance Engagements 3402 issued by the International Auditing and Assurance attestation standards Board ("IAASB"), as applicable, in addition to or or replacement of any other application auditing and standards Board ("IAASB"), as applicable, in addition to or replacement of any other applicable auditing and attestation standard(s), approved by the AICPA or IAASB, approved by the AICPA or the IAASB, as applicable, that are in effect during the time period in which the Vendor's independent auditor performs work related to the Type 2 report referred to herein (the "Report and Opinion"). Vendor agrees to provide this report and opinion to Lowe's for confirmation that the vendor has had an in-depth examination of its financial control activities while performing and providing and providing key services to Lowe's during the Term of this Agreement. Upon receipt, should be the report and Option reveal to Lowe's that the Vendor has a financial control activities weakness, then Lowe's will be entitled to (a) terminate this Agreement pursuant to the "Termination" Section; or (b) demand that Vendor be resolve that confirm the resolution of any such weakness within one hundred twenty (120) days of receipt of Lowe's written demand sent in confirmance with the "notices" Section. However, should be Vendor be unable to confirm to resolution of any Lowe's written demand, Lowe's will be ebtitled to terminate this Agreement pursuant to subsection (a) of the "Termination" Section.
