The Contract is made by and between the buyer and seller, hereby the buyer agrees to buy and the
seller agrees to sell the under-mentioned commodity according to the terms and conditions

The price above includes the charge of installation and start-up. Sunward Vietnam Office is
in charge of after sales Service. But Local transportation, accommodation, and food charges in
Vietnam for our technicians, who will go to install and adjust the machine, will be borne by buyer.
The seller, at their own expenses, after delivery, has to send technician to the buyer’s site to
install, trial run and guide for the buyer’s worker and take charge for fee of go and back from
China to Vietnam.
以上价格已包括安装调试费用。售后服务由山河公司的越南办事处负责，但安装调试
服务期间服务工程师的食宿，交通费由买方负责.卖方价格包含交货后安排技术人员来到买
方现场指导安装，试运行及培训买方操作人员。
2．Delivery terms 交货方式:

3．Terms of payment 付款条件:
1）The 10% deposit should be paid by T/T advance after the contract signed;

2）The 90% balance should be paid by 360 days (from the date of Cargo receipt) irrevocable L/C,
the Seller should receive the acceptable L/C before delivery.
90%尾款开立不可撤消360天(时间从收货单日起开始计算)远期不可撤销信用证,发货前
卖方必须收到可接受的信用证。

10. Shipping advice 装运通知:
The seller shall, within 3 working days immediately after the completion of the loading of the
commodity, notify the buyer of the Contract number, name of commodity, quantity, gross weight,
invoice value and date of departure.
卖方应在完成装运后三个工作日内立即通知买方, 包括合同号、货物名称、数量、毛重、

发票金额和发运日等。
11. Insurance 保险: No Obligation(无义务).
12. Quality Warranty 质量保证:
1) The seller offers 12 months warranty for the machine from the date of installation finished，
which should be in accordance with . If the problem of
machine caused by the quality of machine, the seller shall provide the spare parts without charge
within the warranty period; if the problem caused by the buyer whenever, the seller shall replace
the parts at reasonable price which in its sole discretion.
保质期 12 个月，从设备安装结束后开始计算,具体保修内容和细则按照山河智能《静力压
桩机产品保修单》 。在保质期内，如果因为产品质量问题，卖方提供免费的零配件（其余费
用由买方自理） ；如果是由于买方原因导致的问题，无论何时，卖方将需要对零配件自行决
定收取合理的费用。
2) The seller promises to deliver the complete machine together with attached parts as per the
annex of this contract. During the warranty period, the seller should reach the site to handle the
malfunction within 5 working days (normal condition) upon the receipt of notice from the buyer.
买方保证设备的随机配件(见合同的附件配件清单)与整机一起发运；保用期间，卖方接到客
户机械出故障消息后 5 个工作日内(正常情况)到达现场处理；
13. Quality and acceptance 质量和验收：
Under DAP trade terms, the seller is responsible for transporting the goods to the border,
clearing for export and delivering the goods at customs boarder. Where the buyer has any
disputes over the physical parameters such as the quantity, specifications and hydraulic fluid of
the goods and the surface conditions of the goods, the buyer should raise the dispute upon
handover of the goods at the border and the claim must be accompanied by the Inspection
Reports certified by Notary Public Office agreed by the Sellers. Should the responsibility of the
subject under claim be found to rest on the part of the Sellers, the Sellers shall, within 20 days
after receipt of the claim, send his reply to the Buyers together with suggestion for settlement. If
the buyer raises any dispute after picking up the goods at the border, the contract considers such
dispute as invalid, and the goods is deemed as eligible.
DAP 贸易术语下，卖方负责将备妥的货物运至边境上的指定地点，办理货物出口结关
手续，在毗邻国家海关关境前交货。如果买方对货物的数量、规格、液压油等物理性参数
以及表面的状况与出口合同的约定及装箱单内容项下存在异议的，应当在边境货物交接时
当场提出，但均需提供经卖方同意的公证行的检验证明。如责任属于卖方者，卖方于收到

异议 20 天内答复买方并提出处理意见。若买方在边境提货后再提出异议，合同则认定买方
提出的异议不成立，否则视为货物验收合格。
14. Force Majeure 不可抗力:
Force Majeure shall refer to war, flood, fire, typhoon, earthquake, strike and other natural
accidents or any situation that both parties mutually agree as force Majeure. Neither the seller
nor the buyer shall be held responsible for late delivery or non-delivery owing to the generally
recognized ‘’Force Majeure’’ causes. However is such a case, the seller shall advise by e-mail the
buyer of the accident, not exceeding 5 days from the accident.
因公认的不可抗力事件致使延迟交付或交付不能,无论买方或卖方概不必承担责任。然
而在该情况下,卖方应在事件发生后 5 日内通过邮件通知买方该不可抗力事件。不可抗力系
指战争、洪水、火灾、飓风、地震、罢工及其他重大自然灾害或非双方原因造成的重大事
件并经过双方同意后方可视为不可抗力的事件
15. Arbitration 仲裁:
All disputes arising from or in connection with the Contract shall be settled through friendly
negotiations. In case no settlement can be reached through negotiations, the case shall then be
submitted for arbitration to the China International Economical and Trade Arbitration
Commission, Beijing, in accordance with the Commission’s arbitration rules in effect at the time
of applying for the arbitration. The arbitration so all take places in Beijing and the decision
rendered by the said commission shall be final and binding upon both parties. Neither party shall
seek recourse to a law court or other authorities for revising the decision. The Arbitration fee
shall be borne by the losing part.
凡因本合同引起的或与本合同有关的任何争议，应通过双方友好协商解决。如不能达
成一致，应提交设在北京的中国国际经济贸易仲裁委员会按照申请仲裁时该会现行有效的
仲裁规则进行仲裁。仲裁在北京进行且该仲裁委员会的仲裁结果是终局的，对双方有约束
力。任何一方不得诉诸法院或其他机构更改该裁决。仲裁费用由仲裁负方承担。
16. Language 语言:
The Contract shall be written in Chinese and in English. Both language versions are equally
authentic. In the event of any discrepancy between the two aforementioned versions, the Chinese
version shall prevail.
本合同有中文和英文两种文字版本， 具同等效力,前述两种文本如有歧异， 以中文文本为准。
