BUSINESS COOPERATION AGREEMENT

After discussing , The both parties agree to sign a business cooperation contract with the following terms and conditions:
ARTICLE 1: CONTENTS OF BUSINESS COOPERATION
1.1- Party A agrees Party B agrees to exclusively distribute nationwide fishing net products manufactures by party A
1.2- Party B agrees to use the dealer network nationwide consumption of the B to introduce and distribute product the fishing nets of the party A
ARTICLE 2: OUTPUT PROVIDE CONSUME
2.1- Party A ensure timely supply of orders from party B
2.2- Party A products delivered to the must meet the quality standards appropriate to the requirements of the Vietnam market
2.3- Output provide and cosume must reach a minimum 250 tons / 1 year
ARTICLE 3: DELIVERY - PRICE - TIME AND PAYMENT
3.1- Party A delivery in warehouse party B , loading and unloading cost each party bear a head
3.2- Sale price for party B based on specific price list from time to time to match the market situation
3.3- Party B will pay party A cash or bank transfer within 30 days of the date of invoice delivery.
ARTICLE 4: THE RESPONSIBILITIES OF A
4.1- Commited to using 100% raw Toray- Japan to produce supply fishing net for party B. Being completely responsible for resolving the consequences of substandard products by customer return.
4.2- Ensuring exclusive distribution nationwide to party B. If the violated, Party A must compensate party B 100% value of money by party A has sold
4.3- When the contract expires and no renewed, side A commitment not to sell products on the market Vietnam during the next two year, facilitating party B solve inventory. If the violated, Party A must compensate party B 100% value of money by party A has sold
ARTICLE 5: RESPONSIBILITIES OF THE B
5.1- Output level commitment to consume a minimum of 250 tons / 1 year, if you want to increase or decrease the consumption must be agree and consent of the A
5.2- Commitment use the sale network nationwide party B for sale and advertising of the product A to the increasingly consumption
5.3- Commitment on-time payment of prescribed
ARTICLE 6: VALIDITY CONTRACT
6.1- This contract is valid for 5 years from the date from......to........
6.2- If you violate the terms signed, either party is entitled to terminate the contract. And shall inform each other in advance in writing within 03 months
6.3- Within the validity of the contract, if either party to terminate the contract unilaterally good reason, will have to pay damages to the other party
6.4- When coming expiry of the contract because of a reason not to continue to extend the contract , both parties must notify each other in advance, within 06 months of writing and creating conditions the two sides have time to prepare the business plans of the company
ARTICLE 7: GENERAL TERM
7.1- The two sides pledged to strictly implement the terms signed. During the term of the contract, if there any the terms need to change to suit the actual situations, both parties will jointly review and agreement of the accessory, if there will be an integral part of this agreement
7.2- All disputes occur if there will be resolved by the competent authority under current law of Vietnam
7.3- The contract is made in 04 copies, each party keeps 02 copies with the same legal value
