Hope that all is fine in Vietnam!

Further to recent communications and emails, please find attached the PDF format files containing the following documents for your perusal;

1. Fine Classic Furniture Business Set-up Proposal.
2. Cartel Furnishings Business Profile & Assets.

From the technical and legal point, you will need to incorporate a legal company in Vietnam to take over Cartel Furnishings (M) Sdn. Bhd.’s entire fine classic furniture business and activities. All orders and payments shall be under the right and authority of the new company who shall gradually handle all relevant business matters. This is to avoid conflict of interest and confusion.

And I am proposing to transfer the whole business structure, assets and ongoing of Cartel Furnishings under lock, stock and barrel plus business goodwill at USD50,000 to the new company by 4 staggered payments as outlined in aforesaid proposal;

- USD 15,000 upon execution of the business handover instruments.
- USD 15,000 3 months from the date of business handover.
- USD 10,000 6 months from the date of business handover.
- USD 10,000 12 months from the date of business handover.

Although our company’s current net worth is valued at USD75,000.

And I will bear all costs including traveling, accommodation, subsistence and telephonic communications to implement the business handover tasks and services as stated in the proposal.

This corporate deal also includes the transfer of Cartel Creations (M) Sdn. Bhd.’ business assets and goodwill. This company specialised in international furniture components & parts trade and industry since1991, but has been inactive since past year due to lack of resources and fierce competition from direct suppliers and manufacturers. There is business prospect in this company, if we reactivate the marketing and direct sourcing operations.

Based on the said business set-up proposal, your new company will be operational almost immediately and move on with the Cartel Furnishings’ existing business activities and proceedings. New orders can be expected promptly.

As you know, it takes many years involving heavy financial and resource investments to reach Cartel Furnishings’ present business status.

If the overall concept of my proposal is acceptable, I shall meet you and your team in Saigon this Thursday or Friday to work on the details, technical points and all relevant matters.
