We agree to sign this business cooperation contract with the following terms and conditions:



Article 1: Target and scope of cooperation:

Party A and Party B agree to establish a Pyinkado factory at …



Article 2: Term of contract:

Term of cooperation is 01 year from Dec 01st 2015 to Dec 31st 2016. This term can be extended as discussing of both.



Article 3: Rights and duties of Party A

Having responsibility provide the machinery and equipment for process in factory.

Having responsibility provide the engineer machine and technicians

Having responsibility provide warehouse and house for worker.

Having responsibility for buying all Pyinkado finished product at the border Cambodia – Vietnam with unit price USD800/m3 (1m3 =1.450kg) equivalent USD 40.000/01 trip.

Having responsibility for recruiting worker to saw wood and pay salary as USD 90/m3

Having responsibility for the specification of sawing wood and quality of finished product before export.

Having responsibility for supervising to get the highest finished product.

Having responsibility for paying in advance the maintain fee, repair, DO oil to make sure machinery in available for operating.

Party B has 50% on total profit after minus all manufacturing expense and transportation fee passing the border to Vietnam. Profit will be divided at right the time Party A pay full invoice at the border Cambodia – Vietnam.



Article 4: Rights and duties of Party B

Having full responsibility for the legal of wooden material at factory and the legal document for create the business.

Having responsibility about spec, quality of Pyinkado material input as below:

+ Circle wood: average diameter 30cm buy 80% and average diameter from 25 to 30cm buy 20% have minimum lengths is 5m/tree

+ Box wood: the width has average diameter from 30 to 40 cm, minimum length is 5m/tree. This type of wood will be measure the length and weigh 1st truck for practice next truck. All number length and weigh can show after actual break wooden.

Having responsibility for buy raw ​​material USD 150/m3 (RM 90m3 = FP 50m3)

Will be repaid the cost for materials USD 13.500 and transportation fee USD 1.300 at the same time the wood will sold at the border Cambodia- Vietnam.

Having responsibility for moving the finished product pass the border Cambodia to Vietnam with cost USD 15.000/truck (Pay PC).

Having responsibility for worker loading into truck USD 500/ truck.

Party B has 50% on total profit after minus all manufacturing expense and transportation fee passing the border to Vietnam. Profit will be divided at right the time Party A pay full invoice at the border Cambodia – Vietnam.



Article 6: The validity of contract:



The contract valid rights after 02 parties sign and determine as defined at Article 2 of this contract or otherwise as agreed by both parties.

When the contract determine, two parties will make the minutes of contract liquidation. The machinery and equipment belong to Party A will be return.

This contract consists of 4 pages which cannot be separated, was prepared 02 copies in Vietnamese, 02 copies in English, has the same value and takes effect from signing.
