Products. SanDisk may offer a price protection program for certain SanDisk Products from time to time. SanDisk reserves the right to immediately modify or terminate price protection terms upon thirty (30) days’ prior written notice to Distributor. In the event of a price decrease, as of the effective date of the new SanDisk Price List, we will adjust down to the new prices any open backlog. Units that are in transit will remain at their original pricing and not be adjusted backwards. In the event of a price increase, new orders placed on or after the date that SanDisk issues a new Price List will use the new Price List. For orders in SanDisk’s system as of the date of the new Price List, SanDisk reserves the right, by giving three (3) calendar days prior notice to Distributor via the issuance of a new Price List (“Price Increase Notice Period”), to increase prices on Product scheduled for shipment after the Price Increase Notice Period. Distributor may, no later than the conclusion of the Price Increase Notice Period, cancel Distributor’s order only with respect to such Products whose prices were so increased and scheduled for shipment after the conclusion of the Price Increase Notice Period.
