RAINFOREST ALLIANCE SERVICE AGREEMENT

1. Rainforest Alliance, Inc., a New York not-for-profit corporation (“RAINFOREST ALLIANCE”), and WOODSLAND TUYEN QUANG JOINT STOCK COMPANY, a VIETNAM JOINT STOCK COMPANY (“ORGANIZATION”), hereby enter into this Service Agreement for conformance evaluation services (the “Evaluation”) pursuant to the Evaluation Scope set forth below.

2. RAINFOREST ALLIANCE or its agents agrees to perform the Evaluation for ORGANIZATION as defined in the Evaluation Scope above, based on information obtained from ORGANIZATION and its offices and operations, review of ORGANIZATION’s records, and where applicable, information obtained from third parties. The Evaluation Standards as defined in the Evaluation Scope are promulgated by standard-setting bodies (each, a “Standard-Setting Body”). For certain RAINFOREST ALLIANCE certification programs, RAINFOREST ALLIANCE is accredited by a third-party accreditation body (each, an “Accreditation Body”). With respect to an Evaluation performed pursuant to (an) Evaluation Standard(s) for which RAINFOREST ALLIANCE is accredited to provide evaluation services, the accreditation requirements of the relevant Standard-Setting body and/or Accreditation Body shall apply to RAINFOREST ALLIANCE and its performance of the Evaluation. In performing services, RAINFOREST ALLIANCE agrees to exercise professional judgment on the basis of information provided by ORGANIZATION and to use the same degree of care and skill ordinarily exercised in similar circumstances by reputable auditors performing comparable services in the same geographic area(s) and as of the time services are performed. RAINFOREST ALLIANCE makes no other warranty or representation, either express or implied, with respect to its services and in no circumstance shall any of its services be considered as verification of compliance with applicable law or an indication of approval by any governmental authority of ORGANIZATION’s products, practices or operations.

3. ORGANIZATION agrees to pay RAINFOREST ALLIANCE the Evaluation Fee as defined in the Evaluation Scope above, plus any applicable sales or value-added taxes that may be assessed by any local, state, provincial, federal or foreign jurisdiction. Signature of this Service Agreement by ORGANIZATION authorizes RAINFOREST ALLIANCE or its agents to commence the Evaluation. The Fee is based on the budget letter previously provided by RAINFOREST ALLIANCE to ORGANIZATION. The Fee is inclusive of travel, lodging and meals expenses (“Expenses”) associated with performance of the Evaluation, unless otherwise indicated in the budget letter.
Where the Fee is exclusive of Expenses, ORGANIZATION shall be responsible for prompt reimbursement of reasonable Expenses upon submission of supporting documentation. ORGANIZATION shall be responsible for payment of additional Fees or Expenses for the Evaluation only in instances where there are unanticipated costs
due to the discovery or disclosure of information which is not known to or considered by RAINFOREST ALLIANCE
during preparation of the budget letter and which requires additional site visits or further investigation.

4. RAINFOREST ALLIANCE shall provide ORGANIZATION with a draft evaluation report indicating ORGANIZATION's conformance with the Evaluation Standard(s) as defined in the Evaluation Scope above. ORGANIZATION shall have the opportunity to review and comment on the draft evaluation report prior to the final technical review and evaluation decision process. This Service Agreement shall conclude upon delivery of the final evaluation report to ORGANIZATION. If, six (6) months following the Date Service Agreement Prepared
referenced in the Evaluation Scope above, ORGANIZATION is not ready to be evaluated, RAINFOREST ALLIANCE shall have the right to terminate this Service Agreement. In the event this Service Agreement is terminated prior to the delivery of an evaluation report, any fees paid by ORGANIZATION shall be returned to ORGANIZATION, less any expenses incurred in connection with the Evaluation.

5. Additional fees shall be charged for any services that are not included in the Evaluation Scope and the Service Proposal referenced in the Evaluation Scope above, including but not limited to (a) additional services that are required as a result of disclosure of information not fully disclosed to RAINFOREST ALLIANCE that requires additional effort or site visits in order to perform the Evaluation, or (b) future evaluations or additional site visits that are required when a portion of the Evaluation Scope fails to meet the specified Evaluation Standard(s). The amounts of any such additional fees will be mutually agreed upon in writing beforehand by the parties hereto and are payable upon receipt of invoice.

6. ORGANIZATION shall disclose to RAINFOREST ALLIANCE all information and documents that RAINFOREST ALLIANCE requires to conduct the Evaluation. ORGANIZATION hereby represents, warrants and covenants that it will provide, based upon due inquiry, information that is accurate and complete, and documents that are authentic and were obtained or produced by legal means and processes. ORGANIZATION shall provide RAINFOREST

ALLIANCE and its auditors with complete access to ORGANIZATION’s premises and operations, and its information and documents, whether in written or electronic form, and whether held by its consultants, advisors, lenders, insurers or other third parties under its direction and control, for the purpose of the Evaluation.

7. Each of RAINFOREST ALLIANCE and ORGANIZATION represents and warrants to the other that

(a) it is duly organized and validly existing and has full power and legal right to execute and deliver this Service Agreement and to perform the provisions of this Service Agreement on its part to be performed; and

(b) this Service Agreement is its valid and binding obligation, enforceable against it in accordance with the terms hereof.

8. ORGANIZATION may not use the names, initials, logos, seals, marks or trademarks of RAINFOREST ALLIANCE or its affiliates or, where applicable, the relevant Standard-Setting Body and/or Accreditation Body, for any purpose whatsoever, including, without limitation, the marketing, sale or promotion of any products, without prior written approval from RAINFOREST ALLIANCE, and where applicable, the relevant Standard-Setting Body and/or Accreditation Body.

9. ORGANIZATION acknowledges that neither RAINFOREST ALLIANCE nor its affiliates, including subsidiaries, shall be obliged to enter into or maintain any commercial or other relationship with ORGANIZATION or issue or maintain a Certificate or Statement previously issued to ORGANIZATION if ORGANIZATION’s activities, in the sole opinion of RAINFOREST ALLIANCE or any such affiliate, reflect badly on the good name of RAINFOREST ALLIANCE or such affiliate.

10. ORGANIZATION agrees not to make any claim of conformity or near conformity with the Evaluation Standard(s), or any portion thereof, with respect to the areas or facilities evaluated pursuant to the Service Proposal referenced in the Evaluation Scope above, until and unless a formal decision is awarded to ORGANIZATION by RAINFOREST ALLIANCE in such connection.

11. Neither party to this Service Agreement shall disclose or publish any information identified as confidential by the party furnishing it without the furnishing party’s express written consent, unless (a) the disclosure is to the receiving party’s attorneys or advisers, (b) disclosure is required by law or judicial order or requested by a regulatory body,
(c) such information was publicly available prior to its disclosure by the furnishing party or thereafter becomes publicly available without any violation of this Service Agreement by the receiving party, (d) the information was available to the receiving party on a non-confidential basis prior to its disclosure by the furnishing party or (e) the information becomes available to the receiving party from a person other than the furnishing party or its representatives and such person is not, to the best knowledge of the receiving party, subject to any legally binding
obligation to keep such information confidential. ORGANIZATION hereby acknowledges that, where applicable, the relevant Standard-Setting Body and/or Accreditation Body shall have access to confidential information relating to ORGANIZATION, where such access is required pursuant to accreditation guidelines.

12. For purposes of this Service Agreement, “Damages” means any claims, demands, causes of action, damages, judgments or settlements, including without limitation, attorney’s fees and court costs.

(a) RAINFOREST ALLIANCE shall not be liable to ORGANIZATION, any ORGANIZATION customer or any other person or entity for any Damages resulting directly or indirectly from ORGANIZATION’s (i) manufacture, use, sale, advertising, promotion, distribution, felling, removal, processing, transport or other disposition of product included in the Evaluation Scope; (ii) marketing, advertising or promotion of its product, enterprise or operation; or (iii) failure to comply with the terms and conditions of this Service Agreement or the evaluation hereunder.

(b) In no event will RAINFOREST ALLIANCE be liable to ORGANIZATION, any ORGANIZATION customer or any other person or entity for any indirect, special, incidental, consequential or punitive damages, including without limitation, attorney’s fees and court costs, losses or injury to earnings, profits or goodwill, arising out of or relating to this Service Agreement or the evaluation hereunder.

Trong trường hợp Hiệp định Dịch vụ này được chấm dứt trước khi giao hàng của một báo cáo đánh giá, bất kỳ việc thu phí của tổ chức sẽ được trả lại cho tổ chức, ít hơn bất kỳ chi phí phát sinh liên quan đến việc đánh giá. 5. Lệ phí bổ sung được tính phí cho bất kỳ dịch vụ không được bao gồm trong phạm vi thẩm định và đề xuất dịch vụ tham chiếu trong Phạm vi đánh giá trên, bao gồm nhưng không giới hạn (a) các dịch vụ bổ sung được yêu cầu như là một kết quả công bố thông tin không được tiết lộ đầy đủ để RAINFOREST ALLIANCE đòi hỏi nỗ lực hay trang web thêm lần để thực hiện đánh giá, hoặc (b) đánh giá trong tương lai hoặc thăm trang web bổ sung được yêu cầu khi một phần của các Phạm vi đánh giá không đạt các tiêu chuẩn đánh giá quy định (s).
