The Phu factory, question about the renting agreement:

Question and duties regarding entering into a renting contract between The Phu Ltd (TP) and Diamond Age Vietnam Ltd DAV) :

Exact area DAV are renting:
We need to clarify the area we are renting, exactly drawing for the room and area where we will do our production. We also need to discuss, and have access to other vital area in the factory, to be able to do the processing of our material. We must have a mutual understanding that have the right to cross the other area, and have access to In example, steam room, room for cold water, or other relevant area if needed.
We also need to have access to both area, from the cold storage, and to be able to move product internal from the wet area, (production area) to the other side where we will do the hydrolyzing, Calcium and Collagen production.
The intention with the agreement is that DAV will rent the entire factory, and that The Phu will give us the option to enter into an agreement in a given time.

Equipment in factory:
DAV must have access to use equipment in factory that is mean to be a part of the production facilities. TP must try to facilitate the best possible way for DAV to perform their production, at a reasonable level.
DAV will provide necessary equipment to optimize their production. DAV will install necessary equipment and make improvement in the factory where that is necessary.

Agreement about ownership of equipment and investment in the factory:
TP and DAV shall issue an agreement where all investment and procurement of equipment, shall be in position of DAV. The ownership agreement shall be acknowledge and confirmed form both parties.

Technical equipment and installation, maintenance of machinery, duty of TP:
All technical installation, as freezing compressor, power generator, electrical equipment and installation, water pipe and pumps, waste water system, and all other relevant installation belonging to TP, will be their responsibility to keep in technical good condition, and do necessary maintenance.
DAV will be responsible of any damage cause by their staff, or if any reckless use of equipment.

Workshop area :
DAV will hire staff to do welding and construction of production material and equipment. DAV will hire an engineer and 1-2 workers that can do all kind of mechanical work and maintenance of equipment and machinery that DAV will use in the production. DAV will be able to use outside are under the roof at the right side of the factory.
DAV will invest in necessary equipment to do all kind of technical installation, welding, and stainless steel work.




Improvement, construction and installations in building :
DAV will in corporation with TP make necessary improvement and facilitate inside the production area, in example we want put up prefabricated isolated panels and install cooling room/controlled temperature room, in the renting are for calcium production. We are aso thinking about put up prefabricated isolated panels in the big room at the loading area, to have control of the


Cantina / Wardrobe / Toilet / office / Our staff :
DAV will have staff at the factory at all time, from production manager, quality manager, and other staff for following up the production. There can be two alternative for using the production workers, either by hiring staff from TP, or that DAV will hire own staff. In the beginning, the first alternative will be of interest. Later DAV will recruit their own staff to do the production.
DAV need to clarify the access to Cantina, Wardrobe, Office for our staff. DAV must have clarify this issue, and be able to execute their task in best possible manner, including space for office people.

Processing license:
TP must at tall time keep processing license intact and valid for production of seafood. There will also be question about extending the production code to include Dry product and Calcium product. TP will assist DAV to implement this into their production license.
If not TP have license to produce and have the necessary approval from the authorities, DAV have the right to cancel/terminate the contract, or keep the contract on hold, until such approval is in place.
TP have to report to DAV if there is any regulation or obstacle from the Authority, Local, Regional, National authority, NAFIQAD, or other relevant department/authority that prevents DAV/TP to hold their license to produce seafood, or the actual product we will produce.


DAV, hiring of workers from TP :
DAV will be able to hire workers from TP at a fix price pr hour. (2000 VND/hour ?) In the trial period/ start up period, DAV will have use for hiring workers for simple test production.
DAV will discuss with TP, and plan work and production to be done, for a certain time and period.



Subcontracting agreement, Production contract and Renting contract :
TP and DAV will also discuss and find the right construction for any production agreement that will be the best and simplest contr
