C The Purchaser/Buyer is authorized and assigned to purchase coal for the XYZ Coal-fired Thermal Power Plant comprising 2 Units of 600MW capacity each, located at XYZ Commune in XXX District, YYY Province, S.R. Vietnam (the Facility).

The Coal procured for the Facility will be supplied to the Purchaser/Buyer at the Load Ports by the Coal Supplier/Seller on a FOB basis.

This Agreement is a Long-term Coal Supply Contract of [10 or 15 years].
Subject to the terms and conditions of this Agreement, the Coal Supplier/Seller has agreed to sell the specified Coal in bulk cargo at the Loading Ports where the nominated Ship-owner will carry this cargo to the Port of Discharge and the Purchaser/Buyer has agreed to pay at the applicable Purchase Price on a FOB basis to the Supplier/Seller on the terms set out in this Agreement.

It is agreed as follows:


1. Definitions and Interpretations
Adjusted Base Annual Quantity has the meaning specified in Clause 7.4(b). Adverse Weather Conditions has the meaning specified in Section 1 of Schedule 4. Agreement means this Coal Supply Agreement.
Alternative Load Port means any load port and/or anchorage from which a Nominated Vessel is loaded for Delivery other than the Base Load Port.
