14.4. Overreaching 14.4.1. Nature and scope of overreaching There are two ways of describing overreaching. One is to say that it is the process by which interests in land are transferred to the proceeds of sale of the land when the legal title is sold to a purchaser, so that the purchaser takes free from the interest and the equitable interest holder acquires instead an equivalent interest in the proceeds of sale now held by the seller. This is essentially the way in which it was described by Sir Benjamin Cherry, the principal draftsman of the Law of Property Act 1925 which reformulated the pre-existing principle of overreaching. Referring to section 2(1) of the 1925 Act, he said:
